IMPORTANT NOTES

  1. Statute of Limitations: Claims must be submitted within 6 years after the claim accrues (41 U.S.C. § 7103(a)(4)(A)).

  2. Sum Certain Requirement: A valid CDA claim must seek payment of a sum certain, meaning a specific dollar amount must be claimed.

  3. Certification Requirements: For claims exceeding $100,000, the certification is mandatory. A defective certification does not deprive the Board or Court of jurisdiction, but the complete absence of a required certification may result in dismissal.

  4. Contracting Officer Decision Timeline:
    - Claims of $100,000 or less: Decision within 60 days
    - Claims over $100,000: Decision within 60 days OR notification of expected decision date within 60 days

  5. Deemed Denial: Failure to issue a decision within the required time constitutes a deemed denial, which may be appealed.

  6. Interest: Interest accrues from the date the claim is received until paid.

  7. Appeal Deadlines:
    - Board of Contract Appeals: 90 days from receipt of final decision
    - Court of Federal Claims: 12 months from receipt of final decision

  8. Continued Performance: The Contractor must continue performance during the pendency of any claim or appeal.

About This Template

Government contracting is its own body of law, with federal acquisition regulations and state procurement rules that override standard commercial contract practices. Bid protests, proposals, and compliance submissions have tight deadlines measured in days, not months. The paperwork has to be exact, because a misfiled bid or a missed page limit can disqualify a contractor from a multi-million dollar opportunity.

Important Notice

This template is provided for informational purposes. It is not legal advice. We recommend having an attorney review any legal document before signing, especially for high-value or complex matters.
