LLC Annual/Biennial Compliance and Good-Standing Packet
TENNESSEE LLC ANNUAL-REPORT AND GOOD-STANDING PACKET
Governing-act gate. Tennessee has legacy and revised LLC statutes. Confirm the entity's governing act and filing history before relying on the revised-act rules summarized below.
1. ENTITY RECORD
| Item | Verified information |
|---|---|
| Exact LLC name / control number | [________________________________] |
| Domestic or foreign LLC | ☐ Domestic ☐ Foreign |
| Governing act | [________________________________] |
| Fiscal-year end | [__/__/____] |

2. CALENDAR AND FEE
Under Tenn. Code § 48-249-1017, a revised-act LLC files on or before the first day of the fourth month following fiscal-year end. The Secretary of State states that an LLC annual report costs $300 for up to six members, plus $50 for each member over six, capped at $3,000.
☐ Due date calculated from the fiscal year recorded with the Secretary of State, not assumed from the calendar year.
☐ Current member count and portal-calculated fee reconciled before payment.
3. REPORT REVIEW
☐ Name, formation jurisdiction, Tennessee registered office, and registered agent reviewed.
☐ Principal executive office and mailing address reviewed.
☐ Directors/managers and officers, if applicable, reviewed.
☐ FEIN status and member-count disclosure completed as required by the current report.
☐ NAICS code, attestation, signer name/title, accepted report, and receipt retained.
4. DELINQUENCY GATE
Under revised-act § 48-249-604, failure to deliver a properly completed report within two months after it is due is a ground for an administrative-dissolution proceeding. Section 48-249-605 provides a further notice-and-cure process before dissolution.
☐ Current status checked before filing; a dissolved or revoked entity uses the reinstatement route rather than an ordinary report alone.
☐ Certificate of existence ordered separately if third-party proof is required.

About This Template
Corporate documents govern how a company makes decisions, records them, and handles disputes between owners, directors, and officers. Proper corporate paperwork is what lets a business take advantage of limited liability, pass clean audits, and survive an acquisition or investor review. Skipping formalities like written resolutions and signed consents is one of the fastest ways for a business owner to lose personal asset protection.
