ALABAMA LLC ANNUAL COMPLIANCE AND STATUS-EVIDENCE PACKET

Two-agency rule. Alabama's recurring LLC route is the Department of Revenue Business Privilege Tax Return and Annual Report, not a generic Secretary of State LLC annual report. Tax classification controls Form PPT versus Form CPT.

1. ENTITY AND TAX RECORD

Item Verified information
Exact LLC name [________________________________]
Secretary of State entity ID [________________________________]
Domestic or registered foreign LLC ☐ Domestic ☐ Foreign
Organization/qualification date [__/__/____]
Federal tax classification [________________________________]
My Alabama Taxes account [________________________________]
Current SOS status [________________________________]
Current ALDOR compliance status [________________________________]

2. RETURN CLASSIFICATION AND CALENDAR

ALDOR states that limited liability entities and disregarded entities generally use Form PPT, while an LLC taxed as a corporation uses Form CPT. The annual return is due on the corresponding federal-return due date. Initial Form BPT-IN is due within two and one-half months after organization, qualification, or beginning business in Alabama.

Control Date/status
Initial BPT-IN completed ☐ Yes ☐ Not applicable ☐ Review
Current tax year [________]
Applicable form ☐ PPT ☐ CPT ☐ Exempt/no return after calculation
Original due date [__/__/____]
Payment due date [__/__/____]

3. $100-OR-LESS EXEMPTION GATE

For taxable years beginning after December 31, 2023, ALDOR states that taxpayers whose calculated business privilege tax is $100 or less are not required to file BPT-IN, CPT, or PPT.

☐ Qualified tax preparer completed the current calculation.

☐ Exemption is supported in the workpapers; it is not assumed from low revenue or inactivity.

☐ If tax exceeds $100, the correct return and payment are filed.

4. INFORMATION AND RECORD REVIEW

☐ Entity ID, FEIN, legal name, and addresses reconcile across SOS and ALDOR records.

☐ Registered-agent information is reviewed separately with the Secretary of State.

☐ Current ownership, tax classification, and return disclosures are reviewed by the preparer.

☐ Filing acceptance, return copy, workpapers, and payment confirmation are retained.

5. DISTINCT STATUS EVIDENCE

Evidence Issuer Retained
Certificate of Existence Alabama Secretary of State
Certificate of Compliance Alabama Department of Revenue ☐ If required
Entity search record Alabama Secretary of State

Do not treat a Secretary of State certificate as proof that all ALDOR tax obligations are satisfied, or vice versa.

6. DEFICIENCY AND CURE GATE

☐ Missing returns, payments, notices, and SOS filings identified separately.

☐ If dissolved/withdrawn, final ALDOR and SOS steps are coordinated.

☐ No tax calculation or inactive-period opinion is given by this packet.

7. NEXT-CYCLE CONTROL

Legal authority

  • Ala. Code § 40-14A-1 et seq. (Business Privilege Tax)
  • Act 2022-252 (tax-due exemption for taxable years beginning after 2023)

Corporate documents govern how a company makes decisions, records them, and handles disputes between owners, directors, and officers. Proper corporate paperwork is what lets a business take advantage of limited liability, pass clean audits, and survive an acquisition or investor review. Skipping formalities like written resolutions and signed consents is one of the fastest ways for a business owner to lose personal asset protection.
