ARIZONA LLC AMENDMENT AND NAME-CHANGE PACKET

Classification comes first. Use this packet only after deciding whether the change belongs in an amendment to the public formation record, a periodic/annual report, a registered-agent filing, a statement of information/change, an internal operating-agreement amendment, an assumed-name filing, or a tax election. These filings are not interchangeable.

Scope gate. Excludes mergers, conversions, domestications, ownership-transfer agreements, securities work, tax elections, regulated or professional-entity eligibility, and disputed authority.

3. ARIZONA ROUTE AND AUTHORIZATION

Apply the operating agreement and the specific statutory rule for the change. A change between member-managed and manager-managed status requires the all-member approval identified in A.R.S. § 29-3407.

Use Articles of Amendment (Form L015) for a name change, management-structure change, required member/manager changes, or another articles provision. For a statutory-agent, principal-address, or listed-address change, determine whether the lower-scope Statement of Change is the correct filing. Section 29-3202 imposes 30-day filing duties for specified changes. After Commission approval, apply the publication or posting procedure in § 29-3202(H) unless the amendment changes only information covered by the exception in § 29-3202(I).

As of 2026-07-27, the Arizona fee schedule revised 03/2026 lists $25 regular and $60 expedited service for Articles of Amendment.
