ALASKA LLC AMENDMENT AND NAME-CHANGE PACKET

Classification comes first. Decide whether the change belongs in Articles of Amendment, a biennial report or notice of change, a registered-agent filing, an internal operating-agreement amendment, an assumed business name, or a tax-agency update. These routes are not interchangeable.

Scope gate. Excludes mergers, conversions, domestications, ownership transfers, securities work, tax elections, regulated or professional-entity eligibility, and disputed authority.

3. ALASKA AUTHORIZATION AND FILING ROUTE

Apply the operating agreement and approval rules before filing. Alaska Stat. § 10.50.100 permits amendments to the articles and requires the amendment instrument to identify the current entity, original filing date, and amended article text.

Use current Form 08-485, Articles of Amendment, for a name or other articles change. The form requires signature by a member, manager, or attorney-in-fact. As of 2026-07-27 it lists a $25 filing fee and warns that the filing will not be accepted if a biennial report is due or the signers do not match the state record.
