GOVERNMENT CONTRACT BID PROTEST

State of Missouri

OVERVIEW OF MISSOURI PROCUREMENT PROTEST LAW

Missouri's procurement protest procedures are governed by Mo. Rev. Stat. § 34.042 and the rules of the Division of Purchasing and Materials Management ("DPMM") within the Office of Administration ("OA"). Protests of state contract awards are filed with the Director of the DPMM or a designated official. Missouri's bid protest framework is relatively streamlined but imposes strict deadlines. Practitioners should be aware that the administrative process does not automatically stay contract performance, which often necessitates parallel judicial action.

Key Statutory and Regulatory Framework

Authority Subject
Mo. Rev. Stat. § 34.042 Protest of contract awards
Mo. Rev. Stat. § 34.040 Competitive bidding requirements
Mo. Rev. Stat. § 34.044 Award criteria and procedures

☐ The evaluation methodology deviated from the criteria stated in the RFP

☐ The awardee failed to meet mandatory qualification or responsibility requirements

☐ The contracting agency engaged in unequal treatment of bidders or offerors

☐ The agency conducted improper discussions or negotiations with one or more bidders

☐ The solicitation contained ambiguous or defective specifications

STAY OF AWARD PROVISIONS

Important: Missouri's administrative protest procedure does not automatically stay contract performance or the transition of contract work to the awardee. Unlike federal protests before the GAO, no statutory stay is triggered by filing a protest with the DPMM.

Options for Obtaining a Stay

If the protester requires a stay of contract performance pending resolution:

☐ Request a voluntary stay from the Director of DPMM (no statutory right, discretionary only)

☐ Seek injunctive relief from the Cole County Circuit Court through a Temporary Restraining Order (TRO) and/or Preliminary Injunction

☐ File a Petition for Writ of Mandamus in Cole County Circuit Court to compel the agency to halt performance

Injunctive Relief Requirements

To obtain a TRO or preliminary injunction, the protester must demonstrate:

  1. A substantial likelihood of success on the merits
  2. Irreparable harm absent the injunction
  3. The balance of equities favors the protester
  4. The injunction serves the public interest

REMEDIES AVAILABLE

Administrative Remedies (DPMM Decision)

  • Cancellation of the contract award
  • Direction to re-evaluate proposals
  • Direction to re-solicit the procurement
  • Other corrective action deemed appropriate by the Director

Judicial Remedies

  • Writ of Mandamus (Mo. Rev. Stat. § 536.150)
  • Declaratory Judgment Action
  • Injunctive Relief (TRO, Preliminary Injunction, Permanent Injunction)
  • Recovery of attorneys' fees under Mo. Rev. Stat. § 536.087 (if the state's position was not substantially justified)

APPEAL PROCESS

Step 1: Administrative Protest to DPMM Director

File protest within 10 state business days of award.

Step 2: DPMM Director Issues Written Decision

The Director (or designee) reviews the written record and issues a decision.

Step 3: Judicial Review

If the protest is denied, the protester may seek judicial review through:

Writ of Mandamus -- Filed in Cole County Circuit Court under Mo. Rev. Stat. § 536.150. The court reviews whether the agency acted within its authority and whether the decision was supported by competent and substantial evidence.

Declaratory Judgment -- Filed under the Uniform Declaratory Judgments Act (Mo. Rev. Stat. § 527.010 et seq.).

Direct Court Action -- In some cases, a protester may bypass the administrative process and proceed directly to court, particularly when seeking injunctive relief.

Standard of Judicial Review

The court reviews the agency decision under a "competent and substantial evidence" standard and determines whether the decision was:

  • Authorized by law
  • Supported by competent and substantial evidence on the whole record
  • Not arbitrary, capricious, or unreasonable
  • Not an abuse of discretion

FILING CHECKLIST

Pre-Filing

☐ Confirm that the protest is being filed within 10 state business days of the award date

☐ Verify that the protester has standing (actual or prospective bidder with direct economic interest)

☐ Identify and document all grounds for protest with specificity

☐ Gather all supporting exhibits and documentation

☐ Review the solicitation for any agency-specific protest procedures

☐ Consult with qualified Missouri procurement counsel

Filing

☐ Complete the protest document with all required information

☐ Attach all supporting exhibits

☐ Sign the protest (protester or authorized representative)

☐ Serve the protest on the Director of DPMM

☐ Serve copies on the contracting agency

☐ Serve copies on the awardee (if known and required)

☐ Retain proof of filing and service

Post-Filing

☐ Monitor for receipt confirmation from DPMM

☐ Evaluate whether to seek judicial stay of performance (if not administratively granted)

☐ Respond to any requests for additional information from the Director

☐ Calendar the expected decision date

☐ If protest is denied, evaluate appeal options within applicable timeframes

☐ Preserve all communications and documents related to the procurement

PRACTICE NOTES

  1. Time Is Critical. The 10-state-business-day deadline is strictly enforced. Calendar the deadline immediately upon learning of the award and confirm the count excludes weekends and state holidays.

  2. No Automatic Stay. Unlike federal GAO protests, Missouri does not provide an automatic stay of performance upon filing. If maintaining the status quo is essential, consider filing for injunctive relief in Cole County Circuit Court simultaneously.

  3. Specificity Required. Vague or conclusory allegations are insufficient. Each ground for protest must identify the specific statute, regulation, or solicitation provision violated, and explain how the violation prejudiced the protester.

  4. Attorney Fees. Under Mo. Rev. Stat. § 536.087, a prevailing protester may recover attorneys' fees unless the state's position was substantially justified. However, fee awards are subject to statutory caps based on the size of the protester's firm and the prevailing hourly rate.

  5. Court Venue. Judicial review actions are typically filed in Cole County Circuit Court (Jefferson City), which has jurisdiction over state agency decisions.

  6. Record Preservation. The protester should request and preserve all procurement records, including the solicitation, amendments, evaluation scoring documents, and communications with the agency, as early as possible.

  7. Public Records Requests. Consider filing a Missouri Sunshine Law request (Mo. Rev. Stat. § 610.010 et seq.) to obtain procurement records that may support the protest.

About This Template

Administrative law covers how you interact with government agencies, from filing a comment on a proposed rule to appealing a denied license or benefit. Agency processes have their own forms, deadlines, and evidence standards that are different from what courts use. Getting the paperwork wrong usually means missing a deadline or losing the right to appeal, so precision in these documents matters as much as it does in a courtroom filing.

Important Notice
