ALABAMA BID PROTEST OVERVIEW
Governing Law
Alabama's bid protest framework is governed primarily by Ala. Code § 41-4-161 through § 41-4-168, as significantly revised by Act 2021-296, effective for contracts solicited and entered into after October 1, 2022. The Alabama Competitive Bid Law (Ala. Code § 41-16-1 et seq.) provides additional requirements for competitive bidding. The Alabama Administrative Code at Chapter 355-4-6 provides implementing rules.
IMPORTANT NOTE: Alabama historically had relatively limited formal bid protest remedies compared to many other states. The 2021 legislative reforms (Act 2021-296) substantially expanded the protest framework. Practitioners must determine whether the procurement at issue was solicited before or after October 1, 2022, as different procedures apply.
Protest Tiers
Alabama employs a three-tier protest and appeal system under the revised framework:

Filing Deadlines
Solicitation Protests:
- Must be filed within 14 days of the date of issuance of the solicitation or any amendment to it (if the amendment is at issue)
Award/Intent to Award Protests:
- Must be filed within 14 days of the date the award or notification of intent to award is posted, whichever is earlier
Appeal to Director of Finance:
- Must be filed within 5 days of receipt of the adverse CPO decision
Standing Requirements
The following parties have standing to file a bid protest in Alabama:
☐ Bona fide actual bidder or offeror who submitted a timely response and is aggrieved in connection with the award or intended award
☐ Bona fide prospective bidder or offeror aggrieved in connection with the solicitation of a contract
Note: Alabama law requires that the protester be a "bona fide" bidder or prospective bidder. This is a higher threshold than some states and requires a genuine intent and ability to compete for the contract.
Automatic Stay Provisions
Under Ala. Code § 41-4-164, in the event of a timely protest or appeal:
- The state may not proceed further with the solicitation or award until 5 days after notice of the final decision is provided to the protester
- Exception: The stay does not apply if the CPO, after consultation with the head of the using agency or purchasing agency, makes a written determination that the solicitation or award without further delay is necessary to protect the best interests of the state

VII. LEGAL ARGUMENT
A. Applicable Legal Standards
Under the Alabama procurement framework, the CPO is authorized to settle and resolve protests concerning the solicitation or award of a contract. Ala. Code § 41-4-161. The protest must set forth the grounds and relief requested with "enough particularity to give notice of the issues to be decided." Id.
Under the Alabama Competitive Bid Law (Ala. Code § 41-16-21 et seq.), public contracts exceeding the statutory threshold must be let to the lowest responsible bidder after proper advertisement and competitive bidding.
On administrative review, the CPO shall issue a decision that holds unlawful or sets aside any procurement action that is "arbitrary, capricious, an abuse of discretion, or otherwise not in accordance with the law." Ala. Code § 41-4-162.

APPEAL PROCEDURES
Appeal to Director of Finance (Tier 2)
If the CPO issues an adverse decision, the protester may appeal to the Director of Finance under Ala. Code § 41-4-163.
Key Requirements:
- The appeal must be made in writing within 5 days of receipt of the adverse CPO decision
- The Director of Finance must issue a written decision within 14 days of receipt of the appeal

Note: Alabama law has historically been more limited in available protest remedies compared to states with model procurement code frameworks. The 2021 reforms expanded remedies but did not create a comprehensive costs/fees recovery mechanism at the administrative level.
ALABAMA-SPECIFIC PRACTICE NOTES

Competitive Bid Law vs. Procurement Code: Alabama has two overlapping frameworks. The Competitive Bid Law (§ 41-16-1 et seq.) applies to purchases of certain goods and services, while the broader procurement framework (§ 41-4-161 et seq.) provides the protest mechanism. Practitioners must identify which framework governs the specific procurement at issue.

Local Government Procurements: Municipal and county procurements may not be subject to the state-level protest procedures. Local entities may have their own protest rules or may have no formal protest mechanism. Verify the applicable procedures before filing.

October 2022 Effective Date: The revised protest procedures under Act 2021-296 apply only to contracts solicited and entered into after October 1, 2022. For procurements solicited before that date, the prior (more limited) procedures govern.
