Re: Demand for performance under [agreement title], dated [date]

Dear [Name]:

I represent [Client legal name] regarding the agreement identified above (the Agreement). This letter gives notice of the specific obligations below and requests performance. It does not amend the Agreement or create a new default, cure period, waiver, or forum term.

Agreement and performance due

Agreement provision Required performance and due date What occurred Supporting record
[Section number and exact duty] [Deliverable, payment, milestone, or service; date] [Specific missed or deficient performance, with date] [Invoice, notice, correspondence, inspection, or other record]
[Section number and exact duty, if needed] [Duty and date] [Facts] [Record]

[Client] has performed or tendered the following obligations due from it: [identify performance and supporting records]. [Describe any relevant conditions precedent, accepted delivery, prior notice, extension, or disputed fact accurately.]

Demand and response

[Client] requests that [Counterparty] complete [precise outstanding performance] by [date and time] at [place or delivery method], and confirm its plan in writing by [response date]. The requested deadline is [the cure deadline in Agreement § __ / a proposed deadline for resolution where the Agreement supplies none]. This letter does not represent that a proposed deadline is a contractual cure period.

If [Counterparty] disputes a stated fact or contends that performance is excused, please identify the Agreement provision and supporting facts in the response. If performance requires coordination, contact [name, phone, email] promptly.

[Include the following paragraph only for a qualifying sale-of-goods transaction after confirming that AS 45.02.102 applies, including its hybrid-transaction rule, and documenting reasonable grounds for insecurity. Delete for services-only, licensing, or other transactions outside that rule.]

Written demand for adequate assurance, if applicable

Because [specific facts and dates creating reasonable grounds for insecurity about future performance], [Client] requests written adequate assurance of due performance under AS 45.02.609. Please describe [specific assurance reasonably needed for the identified obligation] and deliver it to [address/email] by [date supported by the circumstances]. Under AS 45.02.609(d), the time after receipt of a justified demand must be reasonable in the circumstances and cannot exceed 30 days. [Client] will assess any response and any commercially reasonable suspension of its own unreturned performance under the Agreement and applicable law.

Reservation of rights

[Client] reserves any remedies actually available under the Agreement and applicable law, subject to their notice, cure, election, limitation, and forum requirements. This letter does not itself terminate the Agreement, declare an unestablished default, or impose new obligations. [Client] remains willing to discuss a practical resolution without waiving its position.

Please direct your written response to [name, address, email]. [Deliver this letter using any notice method the Agreement requires, and retain proof of delivery.]

Sincerely,

[Signature]

Legal authority

  • AS 45.02.102 (scope of sales-of-goods chapter, including hybrid transactions)
  • AS 45.02.609 (adequate assurance for qualifying contracts for sale)

Formal legal letters create a written record, trigger response deadlines, and often preserve rights under a statute or contract. Cease-and-desist letters, notice letters, and formal responses all have their own expected format, and the language used can mean the difference between a quick resolution and a courtroom fight. Well-drafted correspondence also documents that you tried to resolve things reasonably, which matters if the dispute escalates later.

Checked against the law it cites

A reviewer verified this template's legal citations against the official source on October 4, 2026.

AS 45.02.102(a) (checked October 4, 2026): "Unless the context otherwise requires, and except as provided in (c) of this section, this chapter applies to transactions in goods and, in the case of a hybrid transaction, applies to the extent provided in (b) of this section"

AS 45.02.102(b) (checked October 4, 2026): "if the sale-of-goods aspects do not predominate, only the provisions of this chapter that relate primarily to the sale-of-goods aspects of the transaction apply"

AS 45.02.609 (checked October 4, 2026): "If reasonable grounds for insecurity arise with respect to the performance of either party, the other may in writing demand adequate assurance of due performance and, until the party receives this assurance, may, if commercially reasonable, suspend any performance for which the party has not already received the agreed return."

AS 45.02.609(d) (checked October 4, 2026): "After receipt of a justified demand, failure to provide, within a reasonable time not exceeding 30 days, such assurance of due performance as is adequate under the circumstances of the particular case is a repudiation of the contract."
