Ordinary LLC formation under the current act
Ariz. Rev. Stat. § 29-3201(A)–(D) allows organizers to form an LLC by delivering articles of organization to the Arizona Corporation Commission. The articles state the LLC's name, principal address, statutory agent, and management and member information; the LLC forms when its articles become effective. § 29-3105(A) makes the operating agreement the ordinary source of internal-affairs rules. The official Title 29 index, updated through the 57th Legislature's second regular session, lists all articles of the Arizona Limited Liability Company Act and no protected- or registered-series establishment provision.
What trips people up
§ 29-3201(E) expressly lets a parent LLC and its subsidiary LLCs be formed at the same time. That is a route involving multiple LLCs, not a designation of a protected series within one LLC. The title index and formation provision provide no domestic series-level public filing or associated-asset segregation rule. The ordinary articles may include other matters under § 29-3201(C), but that permission does not itself establish a statutory series.
Common questions
Does a parent and subsidiary filing create a protected series?
§ 29-3201(E) speaks of parent and subsidiary limited liability companies. It does not create a series designation within one company.
Can an operating agreement alone establish a statutory series?
§ 29-3105(A) governs the LLC's internal affairs through an operating agreement. Current Chapter 7 has no domestic series-establishment or parent/series segregation provision.
