Ordinary LLC formation under Chapter 10.50

Alaska Stat. § 10.50.010 permits an LLC under the Alaska Revised Limited Liability Company Act. Under §§ 10.50.070 and .080, organizers sign and deliver articles of organization, and the ordinary LLC organizes when conforming articles are delivered for filing. Section 10.50.075 lists the article contents, including the company name and agent information. Section 10.50.020(a) governs the ordinary LLC-name indicator.

The complete current Chapter 10.50 contains no domestic protected-, registered-, or designated-series establishment provision. The official June 2026 Title 10 chapter index identifies Chapter 50 as the LLC act and Chapter 55 as the Entity Transactions Act, with no separate series LLC chapter.

What trips people up

Section 10.50.075(5) lets organizers add lawful internal provisions to ordinary articles, and § 10.50.095 permits a member operating agreement. Neither provision supplies a statutory series asset-segregation rule. Section 10.50.350 says LLC property is company property, held and conveyed in the company name; § 10.50.265 addresses a member's limited liability from company debts, a different question.

Common questions

Can a member agreement create statutory protected-series assets? Section 10.50.095 permits an operating agreement, but current Chapter 10.50 supplies no domestic series establishment or asset-association procedure.

Can the articles later be amended? Yes. Section 10.50.100(b) provides an ordinary articles-of-amendment filing. It does not establish a series designation.

Does member limited liability separate assets inside the LLC? Section 10.50.265 protects a member solely by membership. Section 10.50.350 locates property in the LLC; neither section provides an interseries asset rule.
