Requirements one by one
Records, purpose, and representatives
Minnesota § 317A.461 requires a nonprofit corporation to keep correct, complete articles and bylaws, accounting records, voting agreements, and six years of member, board, and authorized committee minutes at its registered office. A member, director, or their agent or attorney may inspect the documents listed in subdivisions 1 and 3 at a reasonable time for a proper purpose reasonably related to that person’s interest in the corporation. The section states no membership-tenure or percentage threshold.
Financial statement, copies, and list
On request, the corporation must give a member or director a statement of results from the last annual accounting period and a balance sheet at its close. Section 317A.461 allows a reasonable fee covering copy expenses. Computerized records must be convertible accurately within a reasonable time into visually legible, usefully organized form, and an entitled requester can demand conversion at the expense of the person who bears copying expense.
Section 317A.439 separately governs the list for a member meeting. A member with voting rights may inspect it to communicate with other members about the meeting, starting two business days after meeting notice through the meeting. A member, agent, or attorney can inspect and copy on written demand during that period at the member’s expense. A recipient may use or share it only for a proper purpose; a court may protect against misuse. A qualifying neighborhood organization may opt out of preparing the list through its articles or bylaws.
Court relief
A member wrongfully denied access or copies under § 317A.461 may bring an action for injunctive relief, damages, costs, and reasonable attorney fees. For the meeting list, § 317A.439 lets the district court of the registered-office county order inspection or copying at corporate expense, postpone the meeting, and order the member’s costs and reasonable attorney fees.
