Requirements one by one
Appointment, eligibility, and address
Conn. Gen. Stat. § 34-243n(a) requires every domestic LLC to designate and maintain a Connecticut registered agent. A resident natural person qualifies, as do the listed domestic corporations, LLCs, registered LLPs, and statutory trusts and their Connecticut-authorized or registered foreign counterparts.
The current formation form says the LLC may not appoint itself, while a Connecticut-resident member or manager may serve personally. The agent must have a Connecticut place of business. The statutory appointment address includes a street and number; the form requires physical business and residence addresses for an individual, but permits a P.O. box for the separate mailing address.
The Act sets no minimum age, citizenship requirement, or exact daily availability hours. Under § 34-247(b), the formation certificate identifies the agent and the agent's Connecticut street and mailing addresses. Appointment affirms consent, and a non-Secretary agent signs the appointment.
Change, resignation, and replacement
Under Conn. Gen. Stat. § 34-243o, the LLC changes the agent or agent address by delivering the corresponding certificate to the Secretary of the State. A new non-Secretary agent signs, and the filing affirms consent.
An agent's § 34-243p resignation ends on the earlier of a replacement or the 31st day after filing. The agent must immediately give the LLC a record of the filing date. An agent that changes its own name or address has 30 days to file the change and then 30 days after filing to notify the represented LLC.
Agent duties and service
Section 34-243n(f) limits the compliant agent's entity-law duties to forwarding received process, notices, and demands to the latest company address supplied to the agent and giving the required resignation or name-and-address notices.
Current § 34-243r(a) permits service on the agent or, for a natural-person agent, at the agent's Connecticut abode. It also permits service on a member or manager or at that person's Connecticut abode. If the agent is gone or cannot be served with reasonable diligence, tracked mail or similar commercial delivery may go to the principal or mailing address in the latest annual report. The statute also provides service on a manager or the nonplaintiff person in charge of a regular company business or activity location.
Consequences of losing the agent
Under § 34-267g(c), the Secretary may email a delinquent LLC notice that its rights and powers are prima facie forfeited after learning it failed to maintain an agent. If the LLC does not file an appointment within three months, the Secretary files a dissolution-by-forfeiture certificate. The dissolved company continues only to wind up or seek reinstatement.
An agent gap does not prevent service. The tracked-delivery and company-person routes in § 34-243r remain available when the agent cannot be used.
What trips people up
- The statute allows an LLC to be an entity agent generally, but the current domestic formation and change forms expressly bar the represented LLC from appointing itself.
- The 31-day resignation period can end sooner when the LLC appoints a new agent.
- Connecticut's 2026 supplement expanded ordinary service to members and managers and added the mailing address as an alternative tracked-delivery destination. The older 2025 base text alone is not current for § 34-243r.
Common questions
Can a Connecticut LLC member be the registered agent?
Yes, if the member is a natural person who resides in Connecticut and supplies the required addresses and signed acceptance. Member status alone is not the qualification; Connecticut residency is.
Does Connecticut require a separate registered office?
Chapter 613a does not create a separately named registered-office duty. It instead requires the agent to have a Connecticut place of business and requires street-address information in the appointment.
Does an agent lapse immediately dissolve the LLC?
No. Section 34-267g uses emailed notice and a three-month appointment cure before the Secretary files dissolution by forfeiture.
