Requirements one by one
Information a member may obtain
Section 57D-3-04(a) covers written agreement and formation documents that are current or were effective during the four preceding fiscal years. For that same four-year period, the LLC may supply either filed income-tax returns or financial statements of the specified kind. A member may also obtain a current interest-owner list with status and change dates, information to determine capital interests within the agreement's limits, and information showing the business's status and financial condition.
Notice, place, response and cost
The member must sign and deliver a written notice at least seven days before the inspection date. It must name the information and state the purpose and intended use. The LLC must comply within the notice period or give written notice explaining the extent of and reasons for refusal (§ 57D-3-04(d)). The LLC normally selects its principal office or another place for inspection during regular hours and may charge labor, material and other costs incurred or that would otherwise be incurred in complying (§ 57D-3-04(e)).
Manager information and special successor rights
When a member, manager or other company official exercises control rights or performs duties, the LLC must supply known information material to the applicable matter (§ 57D-3-04(c)). If a member dies or is adjudicated unable to manage person or property, the estate or the person's designated agent or court-appointed guardian becomes a special economic interest owner with that person's § 57D-3-04 information rights (§ 57D-3-02(a)(2), § 57D-3-02(c)). A simple transfer of economic interest does not grant member rights (§ 57D-5-02).
Agreement and confidentiality limits
The operating agreement may not diminish the core § 57D-3-04(a) rights except as § 57D-3-04(b)-(f) permits (§ 57D-2-30(b)(4)). The LLC may use redactions, summaries, confidentiality agreements and other conditions, and may withhold trade secrets or other sensitive information under the specific risk-and-safeguard test in § 57D-3-04(f).
What trips people up
Seven days is the minimum lead time for the signed notice, while the LLC's response is due within the period the notice provides. The statute does not turn that minimum lead time into an automatic seven-day production deadline (§ 57D-3-04(d)). The LLC's tax-return-versus-financial-statement choice also differs from a right to demand both sets (§ 57D-3-04(a)(2)).
Common questions
Can someone inspect for a member? Section 57D-3-04(b) permits a member's agent to exercise inspection and copying rights.
Does a refusal come with a special court petition? Section 57D-3-04(d) requires written reasons for refusal, but the section does not prescribe a separate inspection petition or fee award.
May the LLC withhold every other owner's identity? The interest-owner list is expressly included in § 57D-3-04(a)(3), while subsection (f) permits stated information restrictions and safeguards. A particular redaction requires applying those provisions to the facts.
