Requirements one by one
Governing law and public certificate
Idaho Code §§ 30-25-101 and 30-25-102(a)(1) place the ordinary domestic LLC under the Idaho Uniform Limited Liability Company Act and define the certificate of organization to include the certificate as amended or restated. The public certificate is different from the private operating agreement, annual report, registered-agent statement, correction statement, and assumed-name certificate.
Amendment, restatement, and the prompt accuracy duty
Idaho Code § 30-25-202 permits amendment or restatement at any time. It also imposes a prompt-action rule: a member in a member-managed LLC or manager in a manager-managed LLC who knows certificate information was inaccurate when filed or became inaccurate must cause an amendment or, where appropriate, use the agent-change or correction route.
An amendment states the company name, initial certificate filing date, and exact amendment text. A restatement must be designated in its heading. The current paper restatement form supplies the complete certificate fields and says the accepted restatement supersedes the original certificate and later amendments.
A new legal name must pass both designator and availability rules
Idaho Code §§ 30-21-301 and 30-21-302(d) require an LLC designator and a name distinguishable on the Secretary of State's records. The Code also bars language falsely implying government affiliation or an impermissible purpose. A signed consent-and-undertaking route or a certified final judgment can authorize some otherwise unavailable names; deleting or changing only the LLC designator does not itself create distinguishability.
Approval depends on the operating agreement and the kind of act
Idaho Code § 30-25-202 states no amendment-specific vote. Under Idaho Code §§ 30-25-105(a)-(c) and 30-25-407(a)-(d), the operating agreement governs authority and the Act fills its gaps. In a member-managed LLC, a majority decides ordinary-course differences and all members must approve an outside-course act. In a manager-managed LLC, the manager or manager majority decides company matters, but all members must approve an outside-course act. The filing signer therefore should not be treated as proof of the required internal vote.
An authorized person signs a filing that needs no notarization
Idaho Code §§ 30-25-203 and 30-25-204(c) permit a person authorized by the company to sign, allow an agent or qualifying legal representative, and impose an accuracy affirmation under penalty of perjury. Idaho Code §§ 30-21-201 and 30-21-209 require the signer's name and capacity but no seal, attestation, acknowledgment, or verification. The current paper form labels the signer as a manager, member, or authorized person.
Filing costs $30 online or $50 on the typed paper form
Idaho Code § 30-21-214 sets $30 for a public organic document not otherwise listed and adds $20 when a paper form requires manual entry. The current Secretary of State forms page confirms a $30 base amendment or restatement fee, the $20 paper charge, SOSBiz online filing, and mail or in-person paper delivery. Optional evidence-of-filing service costs another $40 for eight working hours or $100 for same-day service on a timely request.
Filing time, delayed effect, and refusal are separate questions
Idaho Code §§ 30-21-203 to 30-21-206 make the filing effective when filed unless it states a later same-day time or a delayed date or time no more than 90 days after filing. A not-yet-effective record can be withdrawn by filing the required statement. The Secretary of State must file a compliant paid record; a refusal requires a recorded explanation within five business days and may be challenged in district court.
Correction, agent change, annual report, and assumed name have narrower jobs
Idaho Code §§ 30-21-205, 30-21-213, 30-21-407, and 30-21-805 divide the alternative routes. Section 30-21-205 reserves correction for an inaccuracy existing at filing, a defective signature, or defective electronic transmission. It cannot be delayed and generally relates back, except against an adversely affected person who relied on the uncorrected record.
Sections 30-21-213 and 30-21-407 let the annual report update principal office and governor information and treat changed agent information in the report as an agent-change statement. An agent statement needs no interest-holder or governor approval. Section 30-21-805 separately requires an assumed-name certificate before doing business under a name other than the LLC's true name.
The public certificate and operating agreement can point in different directions
Idaho Code §§ 30-25-107(c)-(d) says an impermissible certificate provision stays ineffective. If an effective filed record otherwise conflicts with the operating agreement, the agreement controls among members, managers, transferees, and dissociated members, while the filed record may control for an outsider who reasonably relies on it. Save the accepted filing and update internal records deliberately; the Idaho filing does not itself update every tax, license, contract, title, trademark, bank, assumed-name, or foreign-registration record.
What trips people up
The Secretary of State still links paper forms revised in 2018 and 2019. The amendment form offers certificate fields for principal-office and governor changes even though the current annual-report statute also updates those fields. The restatement form asks a new registered agent to sign, while current Idaho Code § 30-21-407(c) makes the entity's designation an affirmation that the agent consented. Classify the change under the current Code and confirm the live SOSBiz workflow instead of assuming every box on an older paper form is the only route.
Common questions
Does acceptance prove that the facts or internal approval were valid?
No. Idaho Code § 30-21-206(e) says filing or refusal does not affect validity or create a presumption that the information is correct or incorrect. The company still needs its approval record and accurate supporting documents.
What if a required person refuses to sign or deliver the filing?
Idaho Code § 30-21-210 lets an aggrieved person ask the district court to order the signature or delivery, or to order the Secretary of State to file the record unsigned. That is a court process, not a substitute signature box on the filing.
