Governing law and registration timing

Article 10 of West Virginia's Uniform Limited Liability Company Act governs
foreign LLC authority. W. Va. Code §§ 31B-10-1002 to 31B-10-1004 call the
filing an application for certificate of authority and govern its contents
and issuance. The statutory structure requires the certificate before the LLC
transacts business in West Virginia.

The Act does not turn every office, employee, customer, or contract into a
universal test. Start with § 31B-10-1003. If neither its exclusions nor its
express property rule resolves the activity, the remaining boundary is
fact-specific.

Safe harbors and the property trigger

Section 31B-10-1003 excludes maintaining, defending, or settling a proceeding;
internal affairs and meetings; bank accounts; securities transfer offices,
trustees, and depositories; independent-contractor sales; orders requiring
outside acceptance; creating or acquiring debt, mortgages, and security
interests; collecting debts and enforcing security; holding, protecting, and
maintaining property acquired through that secured activity; and interstate
commerce.

An isolated transaction must be completed within 30 days and outside a
course of similar transactions. The section also excludes applying for
withholding tax for a West Virginia resident employee who works for the LLC in
another state, and holding stock in an authorized corporation when the foreign
LLC itself produces no goods, services, or other business in West Virginia.

West Virginia has no general property-ownership harbor. Section
31B-10-1003(b) affirmatively treats ownership of income-producing West Virginia
real or tangible personal property as transacting business unless the property
fits a listed exclusion. The list does not decide taxation, service of process,
or regulation under other law.

Application, evidence, name, and optional agent

Section 31B-10-1002 requires the foreign name and organization jurisdiction,
principal-office mailing address, each member authorized to execute
instruments, any West Virginia designated office and process agent, any fixed
term, manager-managed status and initial managers, any member-liability
election, business purpose, and an email for filing notices when technically
possible.

The application must include a certificate of existence or similar record
authenticated by the home-jurisdiction records official. Current LLF-1 narrows
the filing instruction to a certificate of existence or good standing dated
during the current tax year.

If the real name is unavailable or noncompliant, W. Va. Code
§ 31B-10-1005 requires a compliant fictitious name and a copy of the adopting
resolution from the managers or members, depending on management structure.
Section 31B-1-105 supplies the LLC identifier and distinguishability rules.

West Virginia makes the in-state designated office and private process agent
optional. W. Va. Code §§ 31B-1-108 and 31B-1-111 allow an eligible West
Virginia resident or qualifying entity to serve; if no agent is appointed or
the agent cannot be found with reasonable diligence, the Secretary of State is
the service agent.

Signer, filing method, fee, and effective date

W. Va. Code §§ 31B-2-205 and 31B-2-206 allow a manager of a manager-managed
company, a member of a member-managed company, a qualifying fiduciary, or an
attorney-in-fact to sign. The signature must state the signer's name and
capacity. Current LLF-1 likewise requests printed name, title or capacity,
signature, and date.

The filing fee is $150 under W. Va. Code § 59-1-2(a)(2)(C). Current LLF-1
prints a veteran-owned fee waiver, but § 59-1-2(j) limits that exemption to the
domestic-formation fees listed in subsection (a)(1)(A) through (G). It does not
include the foreign-LLC fee in subsection (a)(2)(C). Follow the current statute
and confirm the form conflict with the filing office before claiming a waiver.
The Secretary of State accepts online registration through the One Stop
Business Portal and an original paper LLF-1.

A filed record is effective at filing unless it states another time that day or
a delayed time and date. A delayed date cannot operate later than the 90th day
after filing; current LLF-1 provides that choice.

Unregistered consequences and cure

W. Va. Code §§ 31B-10-1008 and 31B-10-1009 bar a foreign LLC transacting
business without a certificate from maintaining a West Virginia action or
proceeding until it obtains authority and authorize Attorney General restraint.
The LLC may defend, its contracts and acts remain valid, and the personal-
liability limitations of managers, members, and transferees are not waived
solely by the lapse.

Unauthorized business appoints the Secretary of State as agent for claims
arising from that business. Article 10 states no fixed back-fee assessment or
civil-dollar penalty for the unregistered period. Section 31B-10-1009 allows
the Attorney General to seek restraint. Obtaining the certificate cures the
express court-access bar; it does not resolve separate tax, licensing,
limitations, or service issues.

What trips people up

  • Income-producing property is an affirmative trigger. Ordinary ownership
    of that West Virginia property is not protected “without more”; only property
    within a listed exclusion escapes the express rule.
  • The evidence window is a tax-year rule. Current LLF-1 does not say 30,
    60, 90, or 180 days. It requires the home-state certificate to be dated in
    the current tax year.
  • A private agent is optional. The application says “if any,” and the Act
    supplies Secretary-of-State fallback service when no usable agent exists.
  • The current form's veteran-waiver line conflicts with the fee statute.
    Section 59-1-2(j) names only domestic-formation fees, not the foreign-LLC
    certificate fee. Do not rely on the form's broader printed statement without
    confirmation from the filing office.
  • The 30 days belongs only to an isolated transaction. It is not a blanket
    first-month exemption from West Virginia authority.

Does one West Virginia transaction require authority?

Not necessarily. Section 31B-10-1003 excludes an isolated transaction
completed within 30 days if it is not part of similar transactions. Longer or
repeated activity does not fit that specific exclusion.

Does owning West Virginia rental property require authority?

Section 31B-10-1003(b) treats ownership of income-producing West Virginia real
