Foreign LLC Registration and Qualification Requirements in Washington

Short answer A foreign LLC must register with the Washington Secretary of State before doing business in Washington. RCW 23.95.520 gives a nonexclusive safe-harbor list that includes interstate commerce, owning property without more, a nonrepeated isolated transaction completed within 30 days, and—since June 11, 2026—employing a Washington remote worker by itself. Requirements one by one

Trigger and complete safe-harbor list

RCW 23.95.505(1) requires registration before a foreign LLC does business in Washington. RCW 23.95.520 makes its exclusions nonexclusive, so activity outside the list is not automatically a positive trigger. The statute does not define that remaining outer boundary.

The listed exclusions cover proceedings and settlements; internal affairs; financial accounts; securities-transfer offices; independent-contractor sales; orders accepted outside Washington when local performance is limited to delivery and installation; indebtedness, mortgages, and security interests; debt collection; an isolated transaction completed within 30 days and outside repeated similar transactions; owning property “without more”; interstate commerce; specified approved foreign-campus activity; employing a Washington remote worker by itself; and merely being an interest holder or governor of an entity that does business in the state.

The remote-worker item became effective June 11, 2026 through 2026 HB 2248 and is now part of the current text. Section 23.95.520 also says these exclusions do not decide service of process, taxation, or regulation under another law.

Application, signer, and home-state evidence

RCW 23.95.510 requires the foreign registration statement to give the true and any alternate name, entity type, formation jurisdiction, principal-office and any required home-jurisdiction-office addresses, registered-agent filing information, governors' names and addresses, formation date and duration, Washington business or purpose, and the date business first began or is intended to begin.

Under RCW 23.95.200(1), the filing is executed by or for a person authorized by the chapter or the LLC's home law. It states the signer's name and capacity but needs no seal, attestation, acknowledgment, or verification. The paper form uses an “Authorized Person” signature and title.

The filing must include an authenticated certificate of existence, good standing, or similar record issued no more than 60 days before submission. WAC 434-112-070 permits an online filer to upload a digital image, but the LLC must retain the original and provide it within 10 business days if the Corporations Division or Attorney General demands it.

Name, Washington agent, filing, and effectiveness

Under RCW 23.95.300 and RCW 23.95.305(5), the name must be distinguishable and use a permitted LLC designator. A conflicting name can become usable if the existing entity gives written consent and undertakes to change its own name. Otherwise, RCW 23.95.525 requires a compliant alternate name for Washington.

RCW 23.95.415 permits a commercial registered agent or a noncommercial individual, entity, or named office or position. The agent must consent in a record filed with the first appointment. The current paper form requires a noncommercial agent's physical Washington street address, email, and signature on the consent block.

The Secretary accepts the profit Foreign Registration Statement on paper or online through CCFS. The base fee is $180. Online filing adds a processing fee whose amount is calculated in the filing system; optional three-working-day priority costs another $100. Under RCW 23.95.210, the filing is effective when filed or processed unless it states a delayed effective date no more than 90 days later.

Consequences and cure

RCW 23.95.505 bars an unregistered foreign LLC from maintaining a Washington action until it registers and pays all fees and penalties for every affected year or partial year. The bar also reaches a successor and an assignee of a claim arising from the unregistered business, and a court may stay the case while registration is determined and completed.

Registration and payment cure that statutory court-access bar. The LLC may still defend a case, its contracts and acts remain valid, and an interest holder's or governor's liability limitation is not waived solely because of nonregistration. Article 5 states no separate fixed civil fine, but it does require the back fees and the chapter's nonpayment penalties. RCW 23.95.555 allows the Attorney General to seek an injunction.

What trips people up

  • A remote employee is now an express safe harbor. Employing a Washington resident remote worker, by itself, does not constitute doing business under Chapter 23.95. Other employment, tax, and licensing duties remain separate.
  • Sixty days is measured at submission. An older good-standing record is not rescued merely because the LLC remains active in its home state.
  • Online evidence is not discardable. Keep the original certificate after uploading its image; the state can demand it within 10 business days.
  • The cure includes money. Registration alone does not reopen the courthouse until the LLC has also paid the back fees and penalties required by RCW 23.95.505.

Common questions

Does owning Washington property require registration by itself?

No. RCW 23.95.520 protects owning property “without more.” Operations connected to the property can still require a fact-specific analysis.

Can an unregistered LLC defend a Washington lawsuit?

Yes. RCW 23.95.505 preserves defense rights and contract validity. The court bar applies to maintaining the LLC's own proceeding until registration and payment.

Must the registered agent consent?

Yes. RCW 23.95.415 requires prior consent in a record filed with the initial appointment. The paper form has a signature block for every agent type; the online workflow records consent electronically.

When does the filing take effect?

Normally when the Secretary of State completes the filing. A delayed effective date may be selected, but it cannot be more than 90 days after filing.
