Nevada: Domestic LLC Formation Filing Requirements
The short answer
A Nevada LLC files signed Articles of Organization that name and address every organizer, elect manager- or member-management, publicly identify every initial manager or member in the chosen group, and include the registered agent's signed acceptance. The articles cost $75, but an initial management list and $200 state business-license application must accompany them, bringing the ordinary formation package to $425. The LLC is legally organized when the articles are filed and the required fees are paid; no delayed effective date or formation publication applies.

Requirements one by one
Governing law and filing record
Nevada forms an ordinary domestic LLC through Articles of Organization under
NRS Chapter 86. The filing goes to the Secretary of State through SilverFlume or
the current combined paper packet.
Organizer and signature
One or more people may form the LLC. Every organizer who signs is named and
addressed in the articles. Under NRS 86.151, signing the articles does not by
itself make an organizer a member.
The current packet places the organizer signature under a perjury declaration
and warns that knowingly offering a false or forged instrument is a category C
felony. Additional organizers use an attached page.
Required entity and purpose terms
The name must use an approved Nevada LLC designation and be distinguishable in
the Secretary's records. The articles do not require a purpose clause.
Existence is perpetual unless the articles use the packet's optional latest-
dissolution-date field. Professional, series, and restricted LLC statements are
outside this ordinary scope unless that special status is actually selected.
Addresses and service fields
The articles select a commercial agent, a noncommercial agent, or an office or
position within the entity. The filing supplies the required Nevada street and
mailing addresses and includes the agent's signed certificate of acceptance.
Each organizer also gives a residence or business address. The same address
choice applies to each initial manager or member disclosed under the management
election.
Management and owner disclosure
Nevada requires the articles to choose management by managers or members. A
manager-managed filing publicly names and addresses every initial manager.
A member-managed filing publicly names and addresses every initial member.
The accompanying initial list again identifies all managers or, if there is no
manager, all managing members, with title and residence or business address.
Optional and restricted provisions
NRS 86.161 permits other internal-affairs provisions that are not inconsistent
with law. The packet offers an optional dissolution date and series or restricted-
LLC elections. Ordinary statutory powers and contracting-authority clauses do
not have to be repeated in the articles.
Filing method, fee, and attachments
The articles fee is $75. Nevada also requires a $150 initial list and a
$200 state business license with formation. The ordinary total is therefore
$425 before optional expedited service.
The paper packet also uses customer-order instructions. Agent acceptance appears
in the articles or on a separate acceptance form when the agent cannot sign the
articles themselves.
Formation and effective date
The LLC is legally organized when the Secretary of State files the articles and
the required filing fees are paid. Nevada does not provide a delayed-effective-
date option for original Articles of Organization.
Filing does not by itself mean the LLC has commenced business, and a signer or
named manager does not become a member merely because of the filing.
What trips people up
The $75 articles fee is only one part of formation. The initial list and state
business license accompany it, raising the standard package to $425.
Nevada requires no formation newspaper publication or proof filing. Its immediate
follow-up work instead happens in the same package: the initial management list
and state business-license application.
Common questions
Must every owner be public?
For a member-managed LLC, every initial member is named and addressed. For a
manager-managed LLC, every initial manager is public instead.
Can the articles use a delayed effective date?
No. NRS 86.201 ties legal organization to filing and payment of the required
fees, and the current packet supplies no delayed-date field.
Does the registered agent sign?
Yes. The appointment must be accompanied by the agent's certificate of
acceptance, either in the articles or on the separate acceptance form.
