Kansas forms an ordinary domestic LLC under the Kansas Revised Limited
Liability Company Act
by filing Articles of Organization with the Secretary
of State. The current ordinary-company paper filing is Form DL; professional,
public-benefit, and series structures use different records outside this row.

Organizer and signature

One or more authorized persons execute the articles. Kansas does not require an
authorized person to be a member or to present proof of authority before filing.
The Act accepts a facsimile, conformed, electronic, or electronically transmitted
signature.

Form DL requires an authorized-person signature and the declaration that the
filing is true and correct under penalty of perjury. It does not require a
separate organizer address or capacity field.

Required entity and purpose terms

The articles state the LLC name. The name includes “limited liability company,”
“limited company,” “L.L.C.,” “L.C.,” “LLC,” or “LC.” The ordinary articles do
not state a purpose or duration. Section 17-7668 supplies broad lawful-purpose
authority, subject to its listed insurance and banking exceptions and other law.

Addresses and service fields

The public filing states the resident agent’s name and a registered-office
address in Kansas. Section 17-7924 describes the postal components, and current
Form DL rejects a post-office box. The ordinary articles do not request a
principal-office address, company mailing address, or organizer address.

Resident-agent eligibility and ongoing service rules belong in the separate
registered-agent survey.

Management and owner disclosure

Neither § 17-7673 nor Form DL asks the LLC to elect member-management or manager-
management. The ordinary articles disclose no manager names, member names, or
ownership percentages. The authorized person who signs the public form is
identified by signature, but organizer status does not itself establish ownership.

Optional and restricted provisions

Section 17-7673(a)(3) permits any other matters the members determine to include.
The same section requires added profession or series terms only for structures
excluded from this ordinary-LLC row. If an applicant relies on an existing
entity’s consent to a similar name, Form DL directs it to submit Form CN.

Filing method, fee, and attachments

As of July 29, 2026, the Secretary of State charges $85 online and $90 on
paper
. Online filers use the state registration site; paper filers mail signed
Form DL and payment to the Secretary of State in Topeka.

There is no universal attachment for an ordinary LLC. Form CN is conditional on
using consent to a similar name, and the credit-card cover page applies only when
paper payment uses that method.

Formation and effective date

A substantially compliant LLC forms when its articles take effect. The default
is the filing date. The articles may specify a later date no more than 90 days
after filing. Before that future date, the filer may terminate the pending record
or change the future date by filing the certificate required by § 17-7911.

What trips people up

Kansas does not impose a general newspaper-publication or proof-of-publication
step after ordinary LLC formation. The Secretary of State instead describes
information reports as filings made at regular intervals after registration,
not as a one-time initial formation report.

Form DL also carries a separate Attorney General notice. It applies only to the
specified foreign principals described there that own or acquire covered real
property within 100 miles of listed regional military installations. For a
covered person, the notice calls for Attorney General registration within 90
days of Secretary of State registration or property acquisition. It is not a
universal LLC formation attachment.

Common questions

Must the authorized person be an owner?

No. Section 17-7673 requires an “authorized person,” not a member, and § 17-7910
does not require the signer to exhibit proof of authority as a filing prerequisite.

Is the registered-office address public?

Yes. Form DL warns that filed documents are public records and may be viewable
online. The resident agent and Kansas registered-office street address appear on
the form.

Can a delayed filing be canceled before it takes effect?

Yes. Section 17-7911 permits a certificate of termination before the future
effective date; a certificate of amendment may instead change that date.
