Iowa: Domestic LLC Formation Filing Requirements
The short answer
An Iowa LLC uploads an organizer-signed PDF Certificate of Organization stating its compliant name, principal-office street and mailing addresses, and registered agent's name and Iowa street and mailing addresses. One or more individuals or entities may organize the company without publicly naming managers or owners; the filing costs $50 and creates the LLC when effective, with an optional delayed date or time up to 90 days. No publication or separate initial report is required, and the first biennial report is due January 1 through April 1 of the first odd-numbered year after formation.

Requirements one by one
Governing law and filing record
Iowa forms an ordinary domestic LLC through a Certificate of Organization
under Iowa Code Chapter 489. The Secretary of State's Fast Track workflow asks
the filer to upload the signed certificate as a PDF rather than complete a
prescribed certificate form.
Organizer and signature
One or more people may organize the LLC. Under § 489.102, the Act's definition of person includes
individuals and many legal or commercial entities, so the organizer need not be
a member.
Under § 489.203, at least one organizer signs the initial certificate, and an
authorized agent may sign. Section 489.206 requires the individual signer's name
and capacity, if any, but no seal, attestation, acknowledgment, or verification.
Required entity and purpose terms
Under § 489.112, the certificate states a distinguishable name with an approved LLC designator,
the principal-office street and mailing addresses, and the registered agent's
name and Iowa street and mailing addresses.
No purpose or duration clause is required. Under § 489.108, an Iowa LLC may have
any lawful purpose and has perpetual duration.
Addresses and service fields
The principal office has separate street and mailing fields. The agent has a
place of business in Iowa under § 489.115, and the certificate states the agent's name and Iowa
street and mailing addresses. Designating the agent affirms consent, so the Act
does not require a separate acceptance attachment.
Management and owner disclosure
The mandatory list in § 489.201 does not require a management election or any
manager, member, or owner name. Under § 489.407, the LLC defaults to member-
management unless the operating agreement selects manager-management.
Optional and restricted provisions
The certificate may add other statements. A certificate statement does not
operate as a statement of authority, and added terms cannot inconsistently vary
§ 489.105's protected filing and agent rules or its duty and liability limits.
Filing method, fee, and attachments
Fast Track requires the filer to upload a signed Certificate of Organization in
PDF form. Under § 489.122, the filing fee is $50. Because § 489.206 generally does
not require use of a Secretary-provided form, the uploaded certificate may be a
custom document that contains the statutory minimums.
The ordinary certificate needs no owner or manager schedule and no agent-
acceptance attachment. The online workflow separately collects the entity name,
effective-date information, agent, office, agricultural-land answer, and online
signature.
Formation and effective date
The LLC forms when the certificate becomes effective. Filing is the default,
but § 489.207 permits a stated later date and time no more than 90 days after
filing. If only a delayed date is stated, effectiveness is at 12:01 a.m.

What trips people up
The PDF certificate and the Fast Track data-entry screens are both part of the
submission. The certificate itself must contain the § 489.201 minimums even
though the portal also asks for agent and principal-office data.
Iowa requires no formation publication, proof filing, or separate initial
report. The first biennial report is due between January 1 and April 1 of the
first odd-numbered year after formation under § 489.212. It costs $30 online or
$45 on paper.
Common questions
Must I use a state Certificate of Organization form?
No. The Secretary's current workflow requires a signed PDF, and § 489.206 says
Secretary-provided forms generally are not mandatory unless specifically listed.
Must I publicly name the owners or managers?
No. Section 489.201 does not require either group in the certificate.
Must the organizer own the LLC?
No. One or more persons may organize it, and the Act's definition of person is
not limited to members.
