Requirements one by one

Governing law, entity, agent, and scope

Idaho Code § 30-21-101(a), (c) names the shared code and its registered-agent
part. Idaho Code § 30-21-102(3), (14), (42) places an ordinary chapter 29
business corporation within that system as a domestic filing entity whose
articles are a public organic record.

Continuous agent and office; eligibility

Idaho Code §§ 30-21-402 to -405 require the corporation to designate and
maintain a registered agent. It may name a listed commercial agent, name a
noncommercial individual or domestic/foreign entity serving in Idaho, or
designate an internal office or position so service follows the individual
holding that role.

Part 4 does not impose a second, separately maintained corporation registered
office. It instead regulates the address attached to the selected agent format.

Corporation change authority and internal approval

Idaho Code § 30-21-407(a)-(c) requires the represented entity to sign its
statement and expressly says its interest holders and governors need not approve
the filing. A new named-agent designation affirms that the agent consented.

Under §§ 30-21-201 and -209, an authorized signer states name and capacity and
affirms material truth under perjury penalties. The filing needs no seal,
attestation, acknowledgment, or verification.

Statement contents, signer, consent, and filing

The entity-signed statement gives the corporation name and the agent information
that will be effective after filing. Under §§ 30-21-403 to -404, that means the
commercial agent's listed name, the noncommercial agent's name and Idaho
addresses, or the internal office/position and delivery address.

The current code does not require a separate new-agent signature: the entity's
designation is the consent affirmation. The still-linked 2019 paper form retains
an agent-signature block and an old citation, so the current SOSBiz workflow and
current code should be checked rather than treating that legacy block as the
statutory consent rule.

Registered-office and agent-office address rules

Idaho Code § 30-21-403 requires an Idaho street address plus an Idaho mailing
address if different for a noncommercial agent or office/position designation.
A P.O. box cannot replace the street address. A commercial-agent listing instead
states the Idaho place of business where process, notices, and demands may be
delivered.

The code does not state a separate corporation registered-office address or a
numbered daily availability window.

Agent-initiated, bulk, and commercial-agent changes

Under Idaho Code § 30-21-408(a)-(b), a noncommercial agent changing its name or
address files an agent-signed statement for each represented entity, giving the
old and new information, and promptly gives each entity a record of the filing
and changes.

Idaho Code § 30-21-409(a)-(d) gives a listed commercial agent the broader route.
One filing may change its name, address, entity type, or formation jurisdiction
for every represented entity; the agent promptly notices each entity. An
unreported commercial-agent address move can cause the Secretary to cancel the
listing.

Agent resignation, notice, delay, and successor gap

Idaho Code § 30-21-410(a)-(d) requires the entity and agent names, a resignation
statement, and the entity address for the agent's notice. The agent promptly
gives the entity a record stating the filing date.

Resignation takes effect on the earlier of a new-agent designation or 12:01 a.m.
on the 31st day after filing. After effectiveness, later-tendered matters are no
longer the former agent's Part 4 responsibility, but the statute preserves both
sides' contract rights.

Effective time, fee, report, and correction routes

Idaho Code §§ 30-21-203 to -205 default an entity filing to filing time and
permit a delayed effective time/date no later than day 90 when the Act permits.
A filing can be withdrawn before it takes effect. Correction reaches an
inaccuracy, defective signature, or defective transmission and generally
relates back except against an adversely affected person who relied on the
uncorrected record.

The current Secretary of State forms page and paper form state a $0 base change
fee; online filing avoids the $20 paper manual-processing surcharge. Idaho Code
§ 30-21-213(a), (e) makes the annual report an alternate change route when its
agent name or address differs from the existing record. Idaho Code
§ 30-21-214(b)(7), (f) makes that report no-fee and supplies the paper manual-
entry surcharge.

Service, default, dissolution, foreign, and contract boundaries

Idaho Code §§ 30-21-412 to -413 make the agent the ordinary service recipient
and require forwarding to the latest entity-supplied address. If the agent is
gone or cannot reasonably be served, registered/certified mail or similar
commercial delivery goes to the principal office in the latest annual report.
Service is effective on the earliest of receipt, signed-return date, or day five
after correctly addressed and sufficiently paid deposit. If that route also
fails, a copy may go to the nonplaintiff individual in charge at a regular
business place or activity; other lawful methods remain available.

Under Idaho Code §§ 30-21-601 to -603, 60 consecutive days without an agent, or
a 60-day failure to report an agent change or resignation, creates a dissolution
ground. After the Secretary serves the determination, the corporation has 60
days to cure or disprove each ground before administrative dissolution. The
agent's authority is not terminated merely by dissolution, and reinstatement
has its own ten-year window and relation-back rule.

What trips people up

Idaho's “registered office” label on the paper form is not a separate statutory
corporation office. The current shared code records a registered agent and the
address required for the chosen commercial, noncommercial, or office/position
format.

Consent also belongs to the current code, not the legacy signature block. A
new named-agent designation is the entity's affirmation that consent exists;
the old paper form's requested agent signature does not replace that rule.

Common questions

Must the shareholders or directors approve the change filing?

No approval by interest holders or governors is required under § 30-21-407(b),
although the entity's own rules may still govern who is authorized to sign for
it.

Can the annual report change the registered agent?

Yes. Section 30-21-213(e) treats differing agent name or address information in
the annual report as a statement of change.

Does resignation end when it is filed?

No. It ends on a replacement designation or at 12:01 a.m. on day 31, whichever
comes first.
