Requirements one by one

The demand is verified and highly particularized

The demand must be made in good faith, in record form, and verified. It must describe with reasonable particularity the shareholder's purpose, the requested records, and how those records relate to the purpose. Delivery must use the registered office, principal place of business, an actual business office through the person in charge, or the secretary at the address shown in department records (§ 1508(b.1)).

An attorney or other agent needs a verified power of attorney or other record- form authorization. The statute states no ownership-duration or percentage floor.

Shareholder lists and other records carry opposite burdens

After a compliant demand, the corporation bears the burden of showing improper purpose when the shareholder seeks the share register or shareholder list. For account books, minutes, consents, and other records, the shareholder bears the burden of establishing proper purpose. Proper purpose means a purpose reasonably related to the person's shareholder interest (§ 1508(b.1), (c.1)).

The records and bylaw routes are broad

Section 1508 requires account books, incorporator/shareholder/director minutes, and a share register. The inspection right covers those account records, the register, minutes, and consents in lieu and includes copies or extracts. A shareholder also gets the current bylaws promptly, free, in record form; the court must summarily order that copy unless the corporation proves the requester is not a shareholder (§ 1508(a)-(b); § 1508(c)-(c.3)).

Silence for five business days opens the court route

Refusal or no reply within five business days permits an action in the court, which has exclusive jurisdiction over statutory entitlement. The court may summarily compel inspection, order a dated shareholder list after the shareholder pays reasonable preparation cost, impose limitations or conditions, bring records into Pennsylvania, and grant other just and proper relief (§ 1508(c)-(c.2)).

Confidentiality has an express burden rule

The corporation may impose reasonable access and use restrictions, designate information confidential, and impose nondisclosure and safeguarding obligations. If reasonableness is disputed, the corporation bears the burden. The articles cannot relax the inspection section (§ 1508(d)-(f)).

Annual financial statements are ordinarily automatic

Unless an exception or separate written agreement applies, annual statements must include at least a year-end balance sheet and income/expense statement and must be mailed within 120 days after fiscal-year close. After mailing, a shareholder or entitled beneficial owner who did not receive them may request a copy in writing. A shareholder who supplied an electronic address may receive them by fax, email, or another electronic transmission (§ 1554(a)-(b)).

What trips people up

The financial-report statute has a public-filing exception, and registered corporations have a separate Section 2511 branch. Do not apply the ordinary private-company automatic-mailing rule without checking whether the corporation must file annual financial statements publicly or qualifies for registered- corporation treatment (§ 1554(d)-(f)).

Common questions

Can the corporation simply ignore a demand while it investigates?

Not indefinitely. Five business days without a reply is an express trigger for the court-compulsion action, even if the corporation has not issued a formal refusal.

Can the articles reduce inspection rights?

No. Section 1508(d) says the inspection section may not be relaxed by the articles. Reasonable confidentiality and use conditions remain possible under Section 1508(e).

Does Section 1508 automatically award attorney fees?

The section cross-references the separate participant-fee statute but does not itself state an automatic fee award. The court has broad power to impose conditions and grant just and proper relief; fee entitlement should be analyzed under the cited separate statute and the facts of the proceeding.
