Critical Signing Requirement (Corporations): Under AS 10.06.155, the Statement of Change must be signed by the corporation's president or vice-president. Biennial Report Must Be Current: The Division of Corporations will reject a Statement of Change if the entity's biennial report is not current. Ensure all biennial reports are filed and current before submitting.

Signer Must Match Records: For corporations, the president or vice-president must sign. The signer must match an official on record with the Division. If officers have changed but not been updated, file an updated officer list first.

Continuous Maintenance: AS 10.06.150 requires continuous maintenance of a registered agent and registered office. Failure may result in involuntary dissolution under AS 10.06.633.

Agent Resignation: Under AS 10.06.160, a registered agent may resign by filing a statement of resignation. The entity then has 60 days to appoint a successor before administrative action.
