2. Agreement of Merger

3. Approval Record
Each board adopts a resolution approving the Agreement and declaring it advisable. Mail every holder of voting or nonvoting stock at least 20 days' notice of the meeting, with the Agreement or a brief summary. Approval requires a majority of the outstanding stock entitled to vote for each constituent corporation, unless a valid exception applies.

The survivor no-vote route requires no certificate amendment, identical continuing shares, and no common-stock issuance or potential issuance exceeding 20% of pre-merger outstanding common stock. Prepare a signed § 1081(F) condition memorandum.
4. Appraisal Workflow
Section 1091 generally supplies appraisal rights for qualifying constituent shares when the holder continuously owns the shares, timely demands appraisal, and does not vote for or consent to the merger. Listed or widely held shares and survivor shares in a no-vote merger can be excluded, subject to the statutory consideration exception.
For a meeting route, give appraisal notice at least 20 days before the meeting and require a separate written demand before the vote; a vote against is not itself a demand. Calendar the ten-day post-effective notice and the 120-day petition period.
5. Certificate, Closing, and Signatures
File the executed Agreement or a certificate in lieu under §§ 1081 and 1007. The certificate states each constituent's name and state, approval facts, survivor name, certificate changes, the Agreement's principal-place-of-business location, and free-copy availability.
