RE: Demand for Payment of Final Wages — Tenn. Code Ann. § 50-2-103(g); Notice of Class B Misdemeanor Exposure under § 50-2-107

Dear [EMPLOYER CONTACT]:

I worked for [EMPLOYER NAME] as a [JOB TITLE] from [__/__/____] through my separation on [__/__/____]. My separation was by [☐ involuntary termination ☐ layoff ☐ resignation with [____] days' notice]. As of the date of this letter, [EMPLOYER NAME] has not paid me all wages owed.

1. Itemized Wages Owed

Category Period Hours / Units Rate Amount
Regular wages [__/__/____] – [__/__/____] [____] $[______] $[__________]
Overtime (FLSA — 29 U.S.C. § 207) [__/__/____] – [__/__/____] [____] $[______] $[__________]
Earned commissions [Identify accounts] $[__________]
Earned bonus [Identify plan] $[__________]
Contractual PTO payout (per policy/contract) [____] hrs $[______] $[__________]
Unauthorized deductions to be restored [Identify] $[__________]
TOTAL UNPAID WAGES $[__________]

2. Statutory Deadline Violated

Under Tenn. Code Ann. § 50-2-103(g), my final wages were due on the LATER of (a) the next regular payday following my separation, or (b) twenty-one (21) days after my last day worked — i.e., [__/__/____]. That deadline has now passed by [____] days.

[EMPLOYER NAME] is subject to § 50-2-103 because it employs five (5) or more persons in Tennessee. T.C.A. § 50-2-101.

3. Statutory Damages and Penalties Triggered

Under Tenn. Code Ann. § 50-2-107:

  • Each violation is a Class B misdemeanor;
  • Fines of up to $500 per offense, and up to $1,000 for willful violation, are available;
  • The Commissioner of Labor and Workforce Development is authorized to investigate and assess civil penalties under T.C.A. § 50-2-108.

In addition:

  • I have a private right of action in state court under T.C.A. § 50-2-110;
  • If my unpaid wages include minimum-wage or overtime owed under the Fair Labor Standards Act, 29 U.S.C. § 216(b) provides liquidated damages equal to 100% of the unpaid wages, plus mandatory reasonable attorney's fees and costs;
  • If wages owed are governed by a written contract, T.C.A. § 28-3-109 affords a six-year statute of limitations and attorney's-fees recovery to the extent provided by the contract.

Tennessee courts enforce employer policies treating accrued PTO as wages payable on separation. Davis-Kidd Booksellers, Inc. v. Day-Impex, Ltd., 832 S.W.2d 572 (Tenn. Ct. App. 1992).

4. Demand

I demand that [EMPLOYER NAME] tender the full sum of $[__________] (unpaid wages) by certified check made payable to me at the address above, on or before [__/__/____] (14 calendar days from the date of this letter).

If any portion of the amount owed reflects minimum-wage or overtime under FLSA, the settlement value increases to $[2x TOTAL] with mandatory attorney's-fees exposure.

5. Notice of Anti-Retaliation Protection

I am exercising rights protected by Tenn. Code Ann. § 50-1-308 (wage-claim retaliation) and § 50-1-304 (whistleblower / Public Protection Act). Any adverse action — including, without limitation, negative references, contested unemployment-insurance claims, or interference with future employment — exposes [EMPLOYER NAME] to a separate retaliation claim with compensatory and punitive damages.

6. Preservation of Records

You are required to preserve all payroll, time, commission, bonus, PTO, and personnel records under FLSA recordkeeping rules (29 C.F.R. § 516) for a period of at least three (3) years. Spoliation will be reported to TDOL and the USDOL and pursued as a separate cause of action.

7. Consequences of Non-Payment

If the full amount demanded is not received by [__/__/____], I will, without further notice:

  • (a) File a wage claim with the Tennessee Department of Labor and Workforce Development, Division of Labor Standards;
  • (b) Pursue all civil remedies in General Sessions, Chancery, or Circuit Court of Tennessee, seeking damages, penalties, and (if FLSA-overlaid) liquidated damages and attorney's fees;
  • (c) File an FLSA complaint with the USDOL Wage and Hour Division if minimum-wage or overtime is at issue; and
  • (d) Refer the matter for criminal investigation under T.C.A. § 50-2-107 where the facts warrant.

This letter is sent in good faith to afford [EMPLOYER NAME] a final opportunity to resolve this matter.

Sincerely,

[EMPLOYEE FULL LEGAL NAME]

About This Template

Employment documents govern the relationship between a company and its workers, from offer letters and employment agreements through handbooks, performance reviews, and separations. Done right, they set clear expectations, protect against wrongful termination and discrimination claims, and give both sides a record to rely on. Done poorly, they invite lawsuits, agency complaints, and costly disputes.

Important Notice

This template is provided for informational purposes. It is not legal advice. We recommend having an attorney review any legal document before signing, especially for high-value or complex matters.
