5. INTELLECTUAL PROPERTY AND BRANDING

5.1 Sponsor grants Organizer a limited, non-exclusive, revocable license to use Sponsor's name, logo, and trademarks solely for the purpose of promoting the Event and fulfilling obligations under this Agreement.

5.2 Organizer grants Sponsor a limited, non-exclusive license to use the Event name and logo solely for Sponsor's advertising of its participation.

5.3 All uses of trademarks must comply with the brand guidelines provided by the respective trademark owner. Neither party shall alter the other's marks without prior written consent.

5.4 All rights revert upon expiration or termination of this Agreement, except for archival and portfolio uses as agreed: [________________________________].


6. MARKETING AND ADVERTISING OBLIGATIONS

9. INDEMNIFICATION AND INSURANCE

9.1 Each party shall indemnify and hold harmless the other from claims arising from its own negligence, willful misconduct, or breach of this Agreement.

9.2 Organizer shall maintain general liability insurance with a minimum coverage of $[________] and name Sponsor as an additional insured.

9.3 Sponsor shall maintain product liability insurance with a minimum coverage of $[________] for any products distributed at the Event.


10. TERMINATION

11. FORCE MAJEURE
