4. SPONSORSHIP FEE AND PAYMENT

5. INTELLECTUAL PROPERTY AND BRANDING
5.1 Sponsor grants Organizer a limited, non-exclusive, revocable license to use Sponsor's name, logo, and trademarks solely for the purpose of promoting the Event and fulfilling obligations under this Agreement.
5.2 Organizer grants Sponsor a limited, non-exclusive license to use the Event name and logo solely for Sponsor's advertising of its participation.
5.3 All uses of trademarks must comply with the brand guidelines provided by the respective trademark owner. Neither party shall alter the other's marks without prior written consent.
5.4 All rights revert upon expiration or termination of this Agreement, except for archival and portfolio uses as agreed: [________________________________].
6. MARKETING AND ADVERTISING OBLIGATIONS
6.1 Organizer shall include Sponsor's branding in the following materials:

8. REPRESENTATIONS AND WARRANTIES

8.2 Sponsor represents that its products and advertising materials comply with all applicable federal and state laws.
8.3 Each party warrants that it is not under any obligation that would prevent performance of this Agreement.
9. INDEMNIFICATION AND INSURANCE
9.1 Each party shall indemnify and hold harmless the other from claims arising from its own negligence, willful misconduct, or breach of this Agreement.
9.2 Organizer shall maintain general liability insurance with a minimum coverage of $[________] and name Sponsor as an additional insured.
9.3 Sponsor shall maintain product liability insurance with a minimum coverage of $[________] for any products distributed at the Event.
10. TERMINATION
10.1 Either party may terminate upon [____] days' written notice for material breach that remains uncured after [____] days' notice.
10.2 Cancellation by Organizer. If the Event is cancelled for reasons other than force majeure, Organizer shall refund Sponsor's fees in full.

11. FORCE MAJEURE

11.2 If the Event is postponed due to force majeure, this Agreement shall apply to the rescheduled date. If cancelled permanently, Organizer shall refund [____]% of Sponsor's fees within [____] days.
12. DISPUTE RESOLUTION
