RECITALS
WHEREAS, Licensor owns or controls certain digital content, including but not limited to written articles, blog posts, videos, graphics, images, audio, and other multimedia materials (collectively, the "Content");
WHEREAS, such Content is protected by copyright under 17 U.S.C. § 102;
WHEREAS, Licensee desires to obtain a license to use the Content for the purposes described herein;
WHEREAS, Licensor is willing to grant such license subject to the terms and conditions of this Agreement.
NOW, THEREFORE, for good and valuable consideration, the parties agree as follows:
ARTICLE I: DEFINITIONS
Section 1.1 Key terms:
(a) "Content" means the digital content described in Exhibit A, including any updates, modifications, or new versions provided during the Term.
(b) "Derivative Work" has the meaning in 17 U.S.C. § 101 and includes translations, adaptations, and modifications.
(c) "Licensed Materials" means the Content and any authorized Derivative Works.
(d) "Term" means the period specified in Article V.
(e) "Territory" means the geographic scope in Article IV.
(f) "Permitted Uses" means the uses authorized in Article III.
ARTICLE II: LICENSED CONTENT

Section 10.2 Disclaimer
EXCEPT AS EXPRESSLY STATED, CONTENT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Section 10.3 Licensee's Representations
Licensee represents and warrants that:
(a) Licensee has authority to enter into this Agreement;
(b) Licensee will use Content only as permitted; and
(c) Licensee will comply with all applicable laws.
ARTICLE XI: INDEMNIFICATION
Section 11.1 Licensor's Indemnification
Licensor shall indemnify Licensee against third-party claims that the Content, as provided, infringes such party's copyright, provided the claim does not arise from unauthorized modification or use.
Section 11.2 Licensee's Indemnification
Licensee shall indemnify Licensor against claims arising from:
(a) Unauthorized use or modification of Content;
(b) Content combined with Licensee's materials;
(c) Breach of this Agreement; or
(d) Licensee's products or services.
ARTICLE XII: LIMITATION OF LIABILITY
Section 12.1 Consequential Damages
NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
Section 12.2 Liability Cap
LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE LICENSE FEES PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
ARTICLE XIII: TERMINATION
Section 13.1 Termination for Breach
