RECITALS

WHEREAS, Project Owner operates a community solar energy generating facility located at [________________________________] (the "Project") with a total capacity of [________] kW; and

WHEREAS, Subscriber is a utility customer eligible to subscribe to a portion of the Project's output;

NOW, THEREFORE, the Parties agree as follows:

DEFINITIONS

• Subscription — Subscriber's allocated share of the Project's energy output, expressed in kW or as a percentage of total capacity.
• Bill Credit — The monetary credit applied to Subscriber's utility bill based on the energy produced by Subscriber's allocated share.
• Subscription Fee — The amount Subscriber pays to Project Owner for participation.
• Virtual Net Metering — A billing arrangement allowing Subscriber to receive bill credits for energy produced at an off-site solar facility.

TERMINATION
