9. POST-TERMINATION COMMISSION RIGHTS
Commissions Earned Before Termination:

15. TERMINATION PROVISIONS

16. UTAH-SPECIFIC LEGAL NOTES
Utah Payment of Wages Act (§ 34-28): Governs all wage payments, including commissions, in Utah.
Semi-Monthly Payment (§ 34-28-3): Employers must pay wages at least semi-monthly, within 10 days after the close of each pay period.
Final Pay — Employer-Initiated Separation (§ 34-28-5(1)): Unpaid wages become due immediately and must be paid within twenty-four hours after separation.
Final Pay — Resignation (§ 34-28-5(2)): Upon voluntary resignation by an employee without a written contract for a definite period, earned and unpaid wages are due on the next regular payday.
Sales Agent Audit Exception (§ 34-28-5(4)): For a sales agent with custody of the principal's accounts, money, or goods, § 34-28-5 does not govern the commission-based portion if the net amount can be determined only after an audit or verification.
Wage Dispute Procedures (§ 34-28-6): If wages are disputed, the employer must provide written notice of the amount conceded to be due and timely pay that amount without condition. Acceptance does not release the disputed balance.
Post-Employment Restrictions (§§ 34-51-201 through 34-51-206): The general employee non-compete cap is one year, but agreements entered on or after May 6, 2026 are subject to additional healthcare-worker and veterinarian prohibitions and exceptions, including the veterinarian nonsolicitation rule in § 34-51-206. Use a separately reviewed agreement matched to the worker's occupation and the transaction.
At-Will Employment: Utah follows the at-will employment doctrine.
17. GENERAL PROVISIONS
Entire Agreement: This Agreement constitutes the entire agreement between the parties concerning commission compensation and supersedes all prior agreements on this subject.
Severability: If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Amendment: This Agreement may only be amended in writing signed by both parties.
Counterparts: This Agreement may be executed in counterparts, each of which shall be deemed an original.
