9. POST-TERMINATION COMMISSION RIGHTS

Commissions Earned Before Termination:
All commissions that have been earned (as defined in Section 5) but not yet paid as of the date of separation shall be paid by the earlier of the next scheduled payday or within ten (10) days of separation (excluding weekends and holidays), per Idaho Code § 45-606. If the employee makes a written request after separation for earlier payment, wages then due must be paid within forty-eight (48) hours after receipt, excluding weekends and holidays.

16. IDAHO-SPECIFIC LEGAL NOTES

Commissions as Wages: Idaho Code § 45-601 defines "wages" to include compensation determined on a commission basis. Idaho courts have confirmed that commissions and bonuses are "wages."

Payment Upon Separation: Idaho Code § 45-606 requires all wages due to be paid by the earlier of the next scheduled payday or within 10 days of separation (excluding weekends and holidays). A written request after separation accelerates payment of wages then due to within 48 hours after receipt, excluding weekends and holidays.

Continuing-Wage Penalty: Under § 45-607, if wages are not paid at the times due under § 45-606, the employee's wages continue at the last rate until paid in full or for 15 days, whichever is less. The maximum is $750, reduced to $500 if the full wages are paid before a § 45-620 lien is filed.

Civil Wage Action: Under § 45-615, a successful wage claimant is entitled to recover either unpaid wages plus the § 45-607 penalties or three times the unpaid wages, whichever is greater. The judgment may also include reasonably incurred costs and attorney's fees. Section 45-615 does not condition this alternative recovery on a separate finding of willfulness.

Monthly Pay Minimum: Idaho Code § 45-608 requires wages to be paid at least once per calendar month.

Covered Direct-Competition Covenants: Idaho Code §§ 44-2701 to 44-2704 govern covered key-worker non-compete agreements, with an 18-month rebuttable presumption of reasonableness as to duration.

At-Will Employment: Idaho is an at-will employment state.


17. GENERAL PROVISIONS

Entire Agreement: This Agreement constitutes the entire agreement between the parties concerning commission compensation and supersedes all prior agreements on this subject.

Severability: If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Amendment: This Agreement may only be amended in writing signed by both parties.

Counterparts: This Agreement may be executed in counterparts, each of which shall be deemed an original.
