Requirements one by one
Removal procedure and votes
Ohio § 1702.29(B) says a director may be removed “pursuant to any procedure therefor provided in the articles or in the regulations”; the removal creates a board vacancy. The procedure must therefore be read in those documents for the particular seat. When a member meeting supplies the vote, § 1702.22(A)(2) ordinarily uses the affirmative vote of a majority of voting members present at a quorum meeting, subject to the articles, regulations, and specified statutory voting rules. Ordinary board action at a quorum meeting is a majority of directors present unless a greater number is required (§ 1702.32).
Resignation and vacancy filling
Section 1702.29(A) treats death or resignation as a vacancy and makes a resignation effective immediately or at the time the director specifies. Unless the articles or regulations provide otherwise, remaining directors may fill a vacancy for the unexpired term by a majority of their number even when fewer than a majority of authorized directors remain (§ 1702.29(C)). For this purpose, an increase in authorized seats that the members do not fill at the authorizing meeting, or a failure to elect the full authorized number, is also a vacancy (§ 1702.29(C)).
Notice and special court route
A special meeting of voting members must state its purpose in the notice under § 1702.18. Director meetings ordinarily require notice at least two days before the meeting, subject to the articles, regulations, and bylaws (§ 1702.31(C)). Section 1702.25 permits action in signed writings without a meeting when its consent conditions are met; the articles or regulations can prohibit that route.
If the articles or regulations expressly allow it, a complaint by at least one-fourth of directors or one-fourth of voting members may lead a court to appoint a provisional director after a hearing. The court, or members wielding a majority of voting power in director elections, may remove that provisional director (§ 1702.521(A)–(B)).
What trips people up
Ohio's corporation-wide “regulations” and the directors' own bylaws are distinct. Section 1702.29(B) points to the articles or regulations for removal, while § 1702.31 permits bylaws to vary board-meeting notice. An ex officio seat can carry different voting and quorum consequences under § 1702.27(A)(4): unless the articles or regulations say otherwise, that director has no vote and is not counted for a quorum.
Common questions
Can fewer than half of the authorized board fill an empty seat? Yes, if the articles or regulations do not change the default. The remaining directors vote by a majority of their number (§ 1702.29(C)); § 1702.32 uses the directors in office to measure the vacancy-filling quorum.
Does a replacement begin a new full term? Section 1702.29(C) gives a director chosen by the remaining directors the unexpired term.
