Requirements one by one
Called, scheduled, and organization meetings
Section 317A.231(4) lets any director call a board meeting by giving all directors five days' notice of its date, time, and place, unless the articles or bylaws vary that rule. If those meeting details were fixed in the articles or bylaws or announced at an earlier board meeting, no new notice is required. A proposed amendment to the articles is different: the notice must contain its substance. Section 317A.171(2) gives the initial organization meeting a separate caller and at least three days' notice.
Remote meetings
Under § 317A.231(2), a wholly remote meeting requires the same notice and enough participating directors for quorum. Under subsection (3), an individual may join by conference telephone, or by another reciprocal communication method if the board authorizes it. Qualifying participation counts as presence.
Quorum and votes
Section 317A.235 ordinarily requires a majority of directors currently in office for quorum; articles or bylaws may change the number or fraction but not below one-third. If quorum exists when a duly called or held meeting convenes, the directors present may continue business until adjournment even after departures reduce their number. Section 317A.237 requires an affirmative majority of voting directors present and entitled to vote at a duly held meeting unless a greater vote applies. It expressly prohibits proxy voting.
What trips people up
The quorum continuation rule in § 317A.235 can keep a meeting able to transact business after directors leave, but § 317A.237 still requires the stated majority of voting directors present for an action. A director who attends ordinarily waives required notice; under § 317A.231(5), the opening objection preserves the issue only if the director does not participate.
Common questions
Must the board meet every year? Yes, by default. Section 317A.231(1) requires at least one annual board meeting unless the articles or bylaws provide otherwise.
Can the entire board meet remotely? Section 317A.231(2) permits it if all directors can participate, the required notice is given, and enough directors participate for quorum.
