Requirements one by one

Governing law and terminology

Idaho Code title 30, chapter 21 is the Idaho Uniform Business Organizations
Code
. Its registered-agent rules are in part 4. Chapter 25 supplies the
domestic LLC formation provisions.

The statutes use registered agent and require an Idaho agent address. The
Secretary of State's paper forms also call that address the registered office,
but Idaho does not impose a second, separately maintained LLC office in part 4.

Continuous designation duty

Idaho Code § 30-21-402 requires every domestic filing entity to designate and
maintain an Idaho registered agent. A domestic LLC is a filing entity because
its certificate of organization is the public record that forms it.

Section 30-25-201(b)(3) makes the selected § 30-21-404 agent information part of
the certificate of organization.

Eligible individual

Idaho Code § 30-21-102(29) defines a noncommercial registered agent to include an
individual who serves in Idaho. Section 30-21-403 requires the filing to give
an Idaho street address and a different Idaho mailing address, if there is one.

The current Secretary of State certificate instructions describe the individual
route as an Idaho resident located at a physical Idaho address. The statute
itself states no separate age, citizenship, or professional-license minimum.

Eligible entity and self-service

A domestic or foreign entity may serve as a noncommercial registered agent.
A person that files the listing required by § 30-21-405 may instead serve as a
commercial registered agent.

Idaho also permits a different form of self-service: the certificate may name
an office or position within the LLC, so process goes to whichever individual
holds that position. The Secretary of State separately tells owners they may
serve as their own agent when they have an Idaho address.

Registered office, address, and hours

For a named noncommercial agent or internal office/position, § 30-21-403
requires an Idaho street address and an Idaho mailing address if different. A
P.O. box may be mailing information but cannot replace the street address.

Part 4 states no separate co-location rule and no numbered daily availability
window. A listed commercial agent instead keeps its Idaho place-of-business
address current through the commercial-agent listing.

Consent and initial filing

The organizer-signed certificate states one of three options: the commercial
agent's name, the noncommercial agent's name and address, or an internal office
or position and delivery address. Under § 30-21-404(b), naming a commercial or
noncommercial agent is the LLC's affirmation that the agent consented.

The current April 2026 certificate form has organizer signatures but no separate
initial agent-acceptance signature. Idaho Code § 30-25-203 requires at least one
organizer to sign. An office-or-position designation does not name one individual
whose separate consent must be affirmed.

Change, resignation, and replacement

An LLC may file a § 30-21-407 statement changing the agent information, without
separate member or manager approval. Under § 30-21-213(e), a changed agent name
or address in the annual report also operates as a statement of change. A new
named-agent designation affirms consent. Unless delayed, the filing is effective
when the Secretary of State files it under § 30-21-203.

Under § 30-21-408, a noncommercial agent that changes its own name or address
files a statement for each represented entity and promptly gives the LLC notice
of the filing and change.

Under § 30-21-410, resignation takes effect on the earlier of a replacement
designation or 12:01 a.m. on the 31st day after filing. The resigning agent must
promptly give the LLC a record stating the filing date. Once effective, the
former agent has no responsibility under part 4 for later-tendered matters.

Agent duties and service

Idaho Code § 30-21-413 limits a compliant agent's part 4 duties to forwarding
received process, notices, and demands to the latest company-supplied address;
giving the notices the Code requires; and keeping the applicable agent filing
or commercial listing current. It sets no numbered forwarding deadline.

Ordinary service may be made by serving the registered agent. Service on an
agent generally must be in a written record, although a listed commercial agent
may state other accepted forms in its listing.

Lapse consequences and fallback service

Sixty consecutive days without an Idaho registered agent is an administrative-
dissolution ground. Idaho Code § 30-21-601 also reaches a 60-day failure to notify
the Secretary of State that the agent changed or resigned. The Secretary of
State first serves a determination notice; § 30-21-602 then gives the LLC 60
days to cure or disprove each ground before administrative dissolution. A
dissolved entity may operate only to wind up or seek reinstatement.

If the agent is gone or cannot with reasonable diligence be served, § 30-21-412
allows registered or certified mail, return receipt requested, or similar
commercial delivery to the principal office in the latest annual report.
Service is effective at the earliest of receipt, the signed-return date, or day
five after a correctly addressed and sufficiently paid deposit. If that fails,
a copy may be handed to the individual in charge of a regular business place or
activity, unless that individual is the plaintiff. Other lawful service methods
remain available.

What trips people up

Idaho offers three designation structures. A named commercial agent, a
named noncommercial agent, and an internal office or position are distinct
choices. The address and consent fields differ.

The principal office is not the ordinary registered-agent address. A 2026
amendment lets an LLC with no physical location beyond a residential address
use its consenting commercial agent's street and mailing addresses as its
principal office. That narrow privacy option does not merge the two concepts
for every LLC.

Two 60-day periods may run in sequence. The agent lapse must last 60 days
to become a dissolution ground. After the Secretary of State serves notice,
the LLC has another 60 days to cure or disprove the ground.

Common questions

Can a member or manager serve? Yes, through a qualifying individual route
or the statute's office-or-position route. The Secretary of State says an owner
may serve with an Idaho address.

Does the initial agent sign the certificate? The current certificate form
does not include an initial agent signature. The organizer signs, and naming
the agent affirms consent under § 30-21-404(b).

Does resignation end when filed? No. It ends on replacement or at 12:01
a.m. on the 31st day after filing, whichever comes first.
