Requirements one by one
Applicant, name, and application
Miss. Code § 79-29-111(1) gives four applicant paths: a person planning a domestic LLC, an existing domestic or registered foreign LLC adopting a new name, a foreign LLC planning Mississippi registration, and a person planning a foreign LLC that will register in Mississippi. Under § 79-29-111(2), the applicant signs a filing naming the applicant, address, and requested legal name. The Secretary checks availability under current § 79-29-109(1), which requires an LLC designator, screens listed restricted terms, and compares active entity and unexpired reserved or registered names. Section 79-29-109(3) allows certain conflicting names through written consent plus a name-change undertaking, or a certified final judgment.
Hold, fees, and end transactions
If the name is available, § 79-29-111(2) reserves its exclusive use as a legal name for 180 days. The same applicant cannot reserve that same name again until more than 60 days after the last period expires. The original applicant may sign a transfer notice giving the transferee's name and address. A cancellation notice must identify the reservation and the applicant or transferee's name and address (§ 79-29-111(2)–(3)). Under current § 79-29-1203(1)(a), reservation, transfer, and cancellation each cost $25.
What trips people up
Section 79-29-111(2) gives no precise formula for the first day of its 180-day period. Confirm the Secretary's recorded expiration before computing the repeat-application wait. The 60-day restriction applies to the same applicant and same name; it is not a blanket statement that nobody else can request the name after expiration. The current SOS fee schedule lists domestic and foreign LLC reservation entries at $25 and a separate $25 transfer entry. The fee statute also expressly prices cancellation, even though the schedule's LLC rows do not separately list it.
Common questions
Does a reservation itself form the LLC?
No. Miss. Code § 79-29-201(1) requires a signed certificate of formation delivered to the Secretary of State to form a company; § 79-29-111 addresses the preliminary name hold.
Does a transfer restart the 180-day clock?
Section 79-29-111(2) transfers the right to the existing reservation. It does not say that a transfer begins a new term, so verify the recorded expiration date.
