Requirements one by one
Applicant and name check
A.R.S. § 29-3113(A) allows a person to apply to the Arizona Corporation Commission to reserve a name that complies with § 29-3112. The Commission must find the name available. Section 29-3112 supplies the LLC designator and record-distinguishability rules and separately addresses consent with a name-change undertaking and a final-judgment path for a conflicting name. The reservation provision does not name a separate organizer, foreign-LLC, or registered-series applicant category.
Application, signature, and fee
Section 29-3113(A) requires the applicant's name and address and the proposed name. Under § 29-3203(A)(4), a record filed on behalf of a person is signed by that person, and subsection B permits an authorized agent. Section 29-3206 supplies the general written or permitted electronic delivery, language and number, signature/capacity, fee, and form rules; Commission forms may be offered, but the section does not generally require their use. Section 29-3213(A)(9) charges a nonrefundable ten dollars for the application and another ten dollars for a transfer notice.
Term and transfer
If the proposed name is available, § 29-3113(A) requires the Commission to reserve it for the applicant's exclusive use for 120 days. The section supplies no separate start-date formula or renewal process. The owner can transfer the hold by delivering a signed notice in a record to the Commission, giving the transferee's name and address (§ 29-3113(B)).
What trips people up
The fee provision in § 29-3213(A)(9) mentions renewal of a foreign LLC's name registration, while § 29-3113 says nothing about renewing a name reservation. Those are different filings. Section 29-3113 also specifies no applicant cancellation or agency revocation process. A name hold depends on record availability and does not itself settle a separate trade-name or trademark claim.
Common questions
May an agent sign the application?
Section 29-3203(B) allows an agent to sign a record delivered for filing under this chapter; subsection C says the signer affirms authority to act.
Does a transfer keep the same reserved name?
Section 29-3113(B) transfers the existing reservation by a signed notice identifying the transferee. It does not describe a fresh availability review or a new 120-day term for the transferee.
