Kansas: LLC Annual and Biennial Report Requirements
The short answer
Kansas LLCs no longer file annual reports. They file a biennial Information Report by April 15 in even years if formed in an even year, or odd years if formed in an odd year. The current fee is $90 online or $110 on paper. A late report carries an $85 combined penalty, and the LLC forfeits after the three-month delinquency period; reinstatement requires a paper certificate, the missed reports, and the related fees.

Requirements one by one
Kansas replaced the annual report with a biennial Information Report
Kansas LLCs file every two years, not every year. Section 17-76,139(b) ties the cycle to
the year the formation document was filed: an even-year LLC reports in succeeding even years,
and an odd-year LLC reports in succeeding odd years. The Secretary of State uses the same rule
for a foreign LLC's registration year. This means a newly formed LLC does not file a report in
its formation year; its first report is due in the next year with the same parity.
April 15 is the fixed due date
Section 17-76,139(b) says the report must be filed "not later than April 15." The due date is
the same for every for-profit business that is in its assigned reporting year. The report goes
to the Kansas Secretary of State, either online or on paper using Form ILC. A designated series
of an LLC is the method outlier: the Secretary of State's form says a series must file on paper
and cannot use the online report.
The domestic report discloses 5% owners
For a domestic LLC, § 17-76,139(c) requires the LLC name, its principal-office street address,
and a list of every member who owns at least 5% of the LLC's capital, with each member's postal
address. Form ILC also asks for the Kansas business ID and the reporting year, and an authorized
person signs under penalty of perjury. The statutory foreign-LLC report is narrower: subsection
(d)(3) requires the foreign LLC's name.
The current fee is $90 online or $110 on paper
The $80 base appears in § 17-76,139(f). Current regulations add two separate agency charges:
K.A.R. 7-16-1 adds $5 online or $25 on paper, and K.A.R. 7-16-2 adds a $5 technology fee for
either method. The totals are therefore $90 online and $110 on paper, matching the
Secretary of State's current Form ILC.
The deadline leads to delinquency, then forfeiture
A missed April 15 report carries an $85 combined penalty: $75 under § 17-7509(a),
which § 17-76,139(g) applies to LLCs, plus the $10 biennial-report penalty in K.A.R. 7-16-1.
The Secretary of State describes the next three months as the delinquency interval. The company
is restricted in what it may file during that period and cannot obtain a certificate of good
standing.
If the report and fee are still missing 90 days after the due date, § 17-76,139(g) applies the
forfeiture rule in § 17-7510(a). A domestic LLC's articles are forfeited; a foreign LLC loses its
authority to do business in Kansas. The Secretary of State sends notice within 60 days after
the due date, warning that forfeiture follows if the filing is not completed by day 90.
Reinstatement reaches back up to 10 years
Reinstatement is a paper package. Under § 17-76,146, the LLC files a certificate of
reinstatement, supplies the resident agent and registered office, files the past-due reports
for the immediately preceding 10 years, and pays the report fees and penalties. Because reports
are biennial, the agency caps that at five missed reports.
The current Form RL totals the package as a $35 reinstatement filing fee, an $85 penalty,
and $110 for each missed report: $230 with one report, up to $670 with five. Once filed,
§ 17-76,146(c) restores the LLC with the same force as if forfeiture had not occurred and
validates contracts and acts from the forfeiture period.
What trips people up
- Older instructions still say "annual report." Kansas moved to biennial Information
Reports beginning in 2024. Use the current even/odd-year cycle, not an old yearly calendar. - Formation year does not trigger an immediate report. The Secretary of State says the
first filing is in the next succeeding year with the same parity. - The statute's $80 is not the checkout total. Current regulatory charges bring the total
to $90 online or $110 on paper. - The three-month interval is not a waiver. The LLC is delinquent during it, owes the
penalty, and forfeits at 90 days if it still has not filed. - Reinstatement reports are paper-priced. Form RL requires the paper report fee of $110 for
each missed report, even though an on-time online report costs $90.
