LLC Amendment and Legal-Name-Change Filing Requirements in Wisconsin

Short answer A Wisconsin LLC may amend or restate its articles at any time and must act promptly when a member or manager knows filed information was or became inaccurate. The filing states the LLC name, initial-articles filing date, and amendment text. Default approval depends on management structure. An authorized person signs, the base fee is $40, and effect may be delayed up to 90 days.

Governing law and covered public recordWisconsin Uniform Limited Liability Company Law, Wis. Stat. ch. 183; deliver an amendment or heading-designated restatement of the public Articles of Organization to the Department of Financial Institutions (DFI) (§ 183.0202)
Mandatory, permitted, and restatement routesArticles may be amended or restated at any time. A member of a member-managed LLC or manager of a manager-managed LLC who knows filed articles were or became inaccurate must promptly cause an amendment or, when appropriate, file a change statement or correction. A restatement must be designated in its heading (§ 183.0202)
Legal name and availabilityA legal-name change uses an articles amendment. The new name needs an LLC/LC designator and must be distinguishable in DFI records; written consent plus an undertaking to change/cancel the conflicting name, or a qualifying final judgment, can support authorization (§ 183.0112)
Internal approval and private consentsThe written operating agreement governs company affairs and chapter 183 supplies the gap rule. By default, an ordinary member-managed matter uses a majority of members' transferable interests; a manager-managed matter is decided by the manager or manager majority. If the change also amends an operating agreement that requires outsider approval or a condition, that operating-agreement amendment is ineffective without it (§§ 183.0105, 183.0107, 183.0407)
Filing contents and attachmentsState the LLC name, initial Articles filing date, and amendment text. Current paper Form 504 asks the pre-change name, filing date, each amended item and complete new text, signer, drafter name/out-of-state execution notation, and optional delayed time; attach extra pages only when needed (§ 183.0202; Form 504)
Signer, filing channel, and feeA company-authorized person signs; an attorney-in-fact may sign. State each signer's name and capacity; no seal, attestation, acknowledgment, or verification is required. File online or submit one paper original by mail; $40 base fee, with optional $100 next-day expedite (§§ 183.0203, 183.0206; current DFI form and fee pages)
Effective time, delay, and rejectionEffective on DFI receipt at the stated filing-day time or, if none, close of business; a delayed date/time may be up to 90 days after receipt. DFI must file compliant records, explain refusal within 5 business days, and a submitter may petition circuit court (§§ 183.0207, 183.0210)
Correction, change, report, and assumed-name alternativesUse a Statement of Correction for an inaccuracy existing at filing, defective signature, or defective electronic transmission, not a later change. Agent/office information may use a cheaper separate change statement or qualifying annual-report update; the annual report separately carries current office and management data. A trade-name filing is not an entity-name amendment or reservation (§§ 183.0116, 183.0209, 183.0212; current DFI materials)
Post-filing records, registrations, and status effectDFI records the filing date and returns an acknowledged copy. Keep articles, every amendment/restatement, signing powers, written operating agreements, and recent member/manager consents or votes at the principal office. Acceptance changes Wisconsin's public record; annual reports, trade names, and registrations in other jurisdictions remain separate (§§ 183.01075, 183.0210, 183.0212)

Requirements one by one

Prompt correction does not always mean an articles amendment

Section 183.0202 permits amendment or restatement at any time, but it also requires the responsible member or manager to act promptly after learning that filed articles were inaccurate when filed or became inaccurate later. The statute gives three possible tools: cause an amendment or, when appropriate, file a registered-agent or office change statement or a statement of correction. The changed fact controls the route.

A restatement is not just a correction form. It consolidates the articles and must identify itself as a restatement in its heading. An amendment instead states the company name, initial-articles filing date, and exact amendment text.

Approval turns on the operating agreement and management structure

The written operating agreement governs company affairs; chapter 183 fills a gap it leaves. For an ordinary matter not placed in the all-member category, a member-managed LLC uses a majority of the members' transferable interests. A manager-managed LLC's affairs are decided by its sole manager or a majority of multiple managers. That is why the signature line alone does not prove that the right internal approval occurred.

If the articles change conflicts with the operating agreement, § 183.0107 says the agreement prevails internally, while the filed record can prevail for an outsider who reasonably relies on it. If the transaction also requires an operating-agreement amendment and that agreement demands an outsider's approval or satisfaction of a condition, the operating-agreement amendment is ineffective without it.

The paper and online routes collect different screens

Paper Form 504 tracks the statute: pre-change LLC name, initial filing date, and complete new text for every amended item. It also asks for the authorized signer's title, a drafter name or out-of-state execution notation, and an optional delayed date/time. Extra pages are needed only when the amendment text does not fit.

The live online Form 504 route requires an email and offers separate paths for entity name, registered agent, agent office or email, principal office, and optional provisions. Both routes list the same $40 base fee. The paper form requires one original; next-business-day expedite is an optional additional $100.

Filing can be effective before the acknowledgment arrives

Under §§ 183.0207 and 183.0210, the amendment is effective on the date DFI receives it—at the stated filing-day time or at close of business if no time is stated—unless a later permissible date is used. A delayed effective date/time cannot be more than 90 days after receipt. This legal effective time is separate from the time needed to receive the acknowledged copy.

Under § 183.0210, DFI's duty is ministerial for a compliant filing. If it refuses the record, it must give notice and a brief reason within five business days; the submitter may ask circuit court to compel filing.

What trips people up

Correction is limited to a defect that existed when the record was filed: inaccurate information, a defective signature, or defective electronic transmission. It is not the route for information that changed later. Form 53 also cannot carry a delayed effective date and costs the same $40 as an amendment.

A registered-agent or office change may be made by articles amendment, but DFI lists a separate statement at $10 online or $25 on paper. A qualifying annual report can also operate as that change statement. The trade-name system is different again: DFI expressly warns that a tradename filing neither registers the entity to do business nor reserves the entity's legal name.

Common questions

Does every member have to approve a legal-name change?

Not under the general default merely because the filing changes the name. Check the written operating agreement first. If it leaves the issue open, the default is a majority of transferable interests in a member-managed LLC or the manager or manager majority in a manager-managed LLC, unless the particular change also triggers a separate all-member rule.

Must Form 504 be notarized?

No. Section 183.0206 requires the authorized signer's name and capacity but expressly says the record need not contain a seal, attestation, acknowledgment, or verification.

What should the LLC retain after filing?

Keep the acknowledged filing with the articles, every amendment and restatement, any signing power of attorney, the written operating agreement, and the recent vote or consent record. Tax, bank, license, contract, property, trademark, trade-name, and other-state registration updates are separate work.

This page is general legal information about the Wisconsin public filing used by an ordinary domestic limited liability company to amend or restate its articles of organization, including a legal-name change, not legal, tax, accounting, licensing, securities, trademark, contract, title, filing, or litigation advice. Authority can depend on the current operating agreement, articles, member and manager records, voting arrangements, lender or investor documents, regulatory status, and the exact change. An internal vote, signed amendment, accepted filing, name clearance, correction, or restatement does not by itself update every tax, permit, bank, contract, property, trademark, trade-name, or foreign-registration record. Professional, nonprofit, benefit, series, public, foreign, regulated, insolvent, converted, merged, dissolved, and disputed LLCs may use different documents or rules. Filing forms, methods, fees, processing, and agency practices change more often than the LLC act. Verified against the cited official sources on the date shown; confirm current instructions with the filing office and obtain licensed advice for a rejected filing, disputed approval, delayed effectiveness, or consequential legal-name change.
