Requirements one by one
Service when the agent is missing
Section 489.119 permits service through the registered agent. When the company has no agent or the agent cannot be served with reasonable diligence, the statute allows registered or certified mail or a similar delivery service to the principal-office address in the latest biennial report. That detail matters because the ordinary 60-day response clock starts with service of the Secretary’s determination, not with the original filing or payment deadline.
What trips people up
The 2026 immediate route. Enacted HF 2678 adds Iowa Code §§ 489.212B, 489.708(6), and 489.709(5). After credible information about fraudulent, criminal, or unlawful use, the Secretary may mail interrogatories; a signed response must arrive within 21 calendar days after mailing. A response admitting a chapter violation or failure to respond is a statutory concession. The Secretary may then sign and file an immediate dissolution certificate under § 489.709(5), without the ordinary ground-determination notice and 60-day cure period. The official amended-sections report lists HF 2678 §§ 15–17 as signed and effective July 1, 2026.
Protected series. Under § 489.14501(1), dissolving a series LLC also dissolves each protected series. Section 489.14503 says reinstatement stops each series’ winding up and applies § 489.710 to it.
Common questions
Does an overdue biennial report dissolve the LLC by itself? Section 489.708 makes a report 60 days late a ground for the ordinary process. Section 489.709 requires a served determination, another 60 days to cure or contest, and a signed and filed certificate.
