Trigger and safe harbors

RSMo § 347.151 assigns the foreign LLC's organization, internal affairs, and member liability to the law of its formation jurisdiction and bars denying registration merely because that law differs from Missouri law.

RSMo § 347.153 requires registration before transacting business. RSMo § 347.163.5 makes the exclusion list nonexclusive and protects proceedings and settlement, internal affairs, bank accounts, borrowing and security interests, secured-debt collection, interstate commerce, and an isolated transaction completed within 30 days outside repeated like transactions. Subsection 8 also protects being an LLC member by itself.

Missouri does not list independent-contractor sales, outside-accepted orders, securities offices, or owning property by itself. Their absence does not prove that registration is required; activity beyond the express exclusions remains fact-specific. Section 347.163.10 also keeps tax, service, and other regulation outside this list's effect.

Filing package

RSMo § 347.153 requires the foreign and any different Missouri name, formation jurisdiction and date, purpose or general business character, Missouri agent and physical office, Secretary of State fallback appointment, and the required home-jurisdiction or principal-office address. A manager, member, or authorized agent signs. RSMo § 347.169 makes that signature an affirmation that the facts are true and the signer is authorized.

The statute and current LLC-4 require authenticated home-state existence or good-standing evidence dated within 60 calendar days of filing.

Name, agent, filing, and current fee

RSMo § 347.157 lets the foreign LLC use a different Missouri name that could be registered by a domestic LLC. RSMo § 347.020 supplies the LLC designator and statutory distinguishability rules.

RSMo § 347.030 requires a Missouri registered office and an agent whose business office is identical to it. The listed choices are a Missouri-resident individual or an authorized domestic or foreign corporation. Current LLC-4 asks for a physical street address; a post-office box may accompany it but does not replace it.

The Secretary of State offers online foreign-LLC filing and paper LLC-4. RSMo § 347.179 sets the registration fee at $100, and § 347.740 currently adds $5, matching LLC-4's $105 total. The $5 authorization expires after December 31, 2026 unless Missouri changes the law. Under § 347.155, the Secretary files a conforming paid application and returns the accepted filing and certificate of registration; LLC-4 has no delayed-effective-date field.

Consequences and cure

RSMo § 347.163 imposes a fine of not less than $1,000 and bars the unregistered LLC from maintaining a Missouri legal or equitable action while Chapter 347's requirements remain unmet. It preserves defense rights, contracts, acts, and the member liability shield. It also applies Missouri's long-arm service provisions to claims arising from the unregistered business. RSMo § 347.165 lets the Secretary of State seek an order restraining the business.

The court bar is stated to last while the requirements have not been met, so later registration removes that particular statutory condition. The statute does not say that registration erases the minimum fine or unrelated tax, license, limitations, or service issues.

Does owning Missouri property alone fall within an express safe harbor?

No property-ownership safe harbor appears in RSMo § 347.163.5. That omission does not settle the result; the statute says other activities may also fall outside transacting business, so the remaining analysis is fact-specific.

Can the LLC defend a Missouri lawsuit before registering?

Yes. RSMo § 347.163.2 preserves the right to defend even though subsection 1 bars the LLC from maintaining its own action while noncompliant.

Does late registration invalidate earlier contracts?

No. RSMo § 347.163.2 says failure to register does not impair the validity of a contract or act.

Does nonregistration alone make a member personally liable?
