Requirements one by one
Governing law and filing record
Michigan uses Articles of Organization, current LARA Form CSCL/CD 700, to form an ordinary domestic LLC under the Michigan Limited Liability Company Act. MCL §§ 450.4101-.4102 name the Act, identify LARA as the department, and define the articles as the original documents filed to organize the company.
Organizer and signature
One or more persons may organize the LLC, and MCL § 450.4202(1) expressly says they may or may not become members. Under MCL § 450.4103(1), the original articles are signed as organizers and show each signing organizer's name beneath or opposite the signature. Form 700 follows that rule with organizer signature and printed-name lines; it asks for no organizer address, notarization, or acknowledgment.
Required entity and purpose terms
MCL § 450.4203 requires the LLC's name and purposes. A broad statement that the company may engage in any activity for which an LLC may be formed is sufficient, and Form 700 supplies that statement. MCL § 450.4201 limits the ordinary LLC to lawful purposes.
The name must comply with MCL § 450.4204, including “limited liability company,” “L.L.C.,” or “L.C.” with or without periods or other punctuation. Duration is perpetual by default under § 450.4202(2), so Form 700 asks for duration only when it will be something else.
Addresses and service fields
MCL § 450.4203(1)(c) requires the initial resident agent's name and the initial registered office's street address and different mailing address. Form 700 makes the street address a Michigan address. It does not ask for a principal-office address or an organizer address.
Management and owner disclosure
The articles state manager-management only if managers will manage the business, under MCL § 450.4203(1)(d). Otherwise, MCL § 450.4401 makes member-management the default. Neither the statute's required-content list nor Form 700 requires the names or addresses of members, owners, or managers.
Optional and restricted provisions
MCL § 450.4203(2) allows any additional provision that is not inconsistent with the LLC Act or another Michigan statute, including a provision permitted in an operating agreement. Form 700 places those clauses in Article V. A manager- management statement, a nonperpetual duration, and a later effective time are common filing choices expressly recognized by the cited provisions.
Filing method, fee, and attachments
Form 700 may be submitted online, by mail, or in person. MCL § 450.5101(1)(b) sets the base articles fee at $50. The ordinary filing has no mandatory attachment; additional pages are used only if the filer needs more space or adds provisions.
There is a narrow fee-waiver package. Under § 450.5101(7)-(8), an LLC whose initial membership interests will be majority-held by veterans may request the waiver by submitting a signed affidavit and qualifying DD214, DD215, or other department-approved records with the articles.
Formation and effective date
The LLC's existence begins on the articles' effective date under MCL § 450.4202(2). MCL § 450.4104(6) makes a filed document effective when LARA endorses it unless the document states a later time no more than 90 days after delivery. Form 700 places the delayed time in an additional article.
Publication and initial follow-up
The current LLC Act and Form 700 impose no newspaper or database publication or proof-of-publication filing for an ordinary Michigan LLC.
MCL § 450.4207(3) instead requires an Annual Statement by February 15 each year. A company formed after September 30 skips the February 15 immediately following formation; other formations face that next February 15 deadline. The statement identifies the resident agent and registered office and may be filed online through the MiBusiness Registry Portal.
The fee is $25 through September 30, 2027, then $15 under MCL § 450.5101(1)(g). If two consecutive statements are missed, MCL § 450.4207a(2)-(3) requires notice and a 60-day cure period before the LLC loses good standing, its name becomes available, and most further filings are blocked; the LLC nevertheless remains in existence and may keep doing business.
What trips people up
Manager-management requires an articles statement. Leaving Article V blank does not create manager-management. Section 450.4401 keeps management with the members unless the articles state otherwise.
The first annual-statement deadline depends on the formation date. An LLC formed through September 30 does not get a formation-year exemption from the next February 15. Only a formation after September 30 skips that immediately following deadline.
The veteran waiver is not automatic. Majority veteran ownership must be certified in a signed affidavit, and qualifying service records accompany the initial articles.
Common questions
Must a Michigan organizer become an owner? No. Section 450.4202(1) says an organizer may or may not become a member.
Must the articles list every member or manager? No. They state that managers will manage when that structure is chosen, but do not identify those managers or list the members.
Can the articles use a future effective date? Yes. The stated later time may be no more than 90 days after LARA receives the filing.
