Corporate Stock Issuance and Share-Certificate Requirements by State
Who may authorize an ordinary domestic private business corporation's original issuance of shares, what consideration, adequacy, payment, shareholder-approval, certificate, uncertificated-share, legend, and ownership-record requirements apply, and when are the shares fully paid and nonassessable?
What this survey covers
Authorizing shares in the articles is not the same act as issuing them to an owner. This survey follows an original issuance from the available class or series and authorizing actor through consideration, adequacy, payment, any special shareholder vote, certificate or uncertificated notice, legends, and the shareholder ledger. It reports the statutory mechanics without deciding a corporation's available capitalization or whether a particular issuance is valid.
Why the state architecture matters
Florida, the District of Columbia, and Wyoming permit tangible or intangible property or benefit, including money, promissory notes, performed services, contracts for future services, and other corporate securities. Each makes the board's pre-issuance adequacy determination conclusive for validly issued, fully-paid, and nonassessable status, and each recognizes escrow or transfer restrictions while future performance or payment remains outstanding. D.C. and Wyoming add a shareholder vote when noncash shares and related instruments in an integrated transaction exceed 20% of pretransaction voting power. Fla. Stat. § 607.0621, D.C. California uses a different consideration and payment structure. It generally excludes the purchaser's promissory note unless adequately secured or within a specified employee or director plan, excludes future services, permits partly paid shares, and requires a board resolution stating the monetary fair value of noncash consideration. Its shareholder may be entitled to a two-officer certificate, while a noncertificate system must satisfy one of the section's federal-law or Uniform Commercial Code authorization routes. Cal. Corp. Certificate form also varies independently from issuance validity. Florida uses one designated officer signature, D.C. uses two, and Wyoming permits two-officer network signatures to transmit a certificate token to a data address. Each also states that certificates are optional, while its uncertificated-share rule requires a later holder statement. Fla. Stat. §§ 607.0625-.0626, D.C. Code §§ 29-304.25-.26, and Wyo. Vermont separates future-performance machinery from a strict issuance gate. Its statute permits notes and future-service or benefit arrangements with escrow or transfer restrictions, but also says that no share may issue until it is fully paid. Vermont's uncertificated-share statement is also recurring: the corporation sends it after issue or transfer and at least annually thereafter. 11A V.S.A. §§ 6.21 and 6.26 (accessed September 4, 2026).
Scope boundaries
This is a corporate-law procedure comparison, not a capitalization, valuation, or securities-law opinion. It does not calculate authorized or available shares, value consideration, decide whether a vote or legend is sufficient, identify an owner, or determine whether an offering is registered or exempt. Subscriptions, options, warrants, convertibles, preemptive rights, defective issuances, and ratification appear only as boundary markers; their separate formation, contract, financing, and remedy questions are not surveyed here.
