Requirements one by one
Governing law and filing record
An ordinary Iowa corporation forms under Chapter 490 by uploading signed Articles of Incorporation through the Secretary of State's Fast Track system (§§ 490.201 to .203).
Incorporator and signature
One or more persons may incorporate. Before directors are selected or the corporation exists, an incorporator signs and states the signer's name and capacity. The filing needs no seal, attestation, acknowledgment, or verification (§ 490.120(6)-(10)).
Name, purpose, and duration
The name must be distinguishable and contain an approved corporate word or abbreviation. A corporation has any lawful-business purpose and perpetual duration by default, so the articles need not state either unless a narrower purpose or finite duration is intended (§§ 490.301 to .302 and 490.401).
Agent, office, and addresses
The articles state the initial registered office's street and mailing addresses and the agent's name. The agent's business office must match the Iowa registered office (§§ 490.501 to .502). Sections 490.202 and 490.501 do not require a separate written consent for the initial appointment.
Shares, classes, and par value
The articles state every class or series and its authorized count. The share structure must provide full voting rights and rights to the corporation's net assets on dissolution. Multiple classes or series need designations and terms, including preferences, rights, and limitations, before issuance (§§ 490.601 to .602).
Par value is optional. If the articles authorize board classification, the corporation files articles of amendment stating the board-set terms before those shares issue.
Directors and other disclosures
Initial directors and their addresses are optional in the articles, while every incorporator's name and address is mandatory. Fast Track separately collects stock entries, a principal-office address, and the name and address of one president, secretary, treasurer, or director. It also asks whether the corporation holds an interest in Iowa agricultural land.
Optional and restricted provisions
Section 490.202 permits lawful purpose, governance and power limits, par value, shareholder liability, bylaw terms, and director-liability, indemnification, and corporate-opportunity provisions. Its liability and opportunity clauses preserve the listed misconduct exceptions and qualified-director approval limits.
Method, fee, attachments, and effect
Fast Track requires a signed Articles of Incorporation PDF plus the portal's data-entry fields. The filing fee is $50. A paper filing may be required to include an exact or conformed copy (§§ 490.120 and 490.122(1)(a)).
Existence begins when the articles are filed unless they specify a later time or date. A delayed effective date cannot be more than 90 days after filing (§§ 490.122(1)(a), 490.123, and 490.203).
Initial report, publication, and follow-up
Iowa requires no formation publication or separately timed initial report. The first biennial report is due January 1 through April 1 of the first even-numbered year after incorporation. It costs $60 and lists the agent and offices plus the president, secretary, treasurer, and one director (§§ 490.122(1)(ad) and 490.1621).
Organization, officers, and bylaws
Named initial directors must hold the organization meeting. If none are named, the incorporators meet to elect directors and complete organization, or elect a board that does so. The work includes appointing officers and adopting bylaws (§§ 490.205 to .206).
Incorporators may act by written consent signed by each incorporator. The incorporators or board must adopt the initial bylaws.
What trips people up
The uploaded articles and the Fast Track screens are both part of the submission. The statutory articles do not require a principal office or officer, but the current portal separately asks for both.
The biennial report can arrive soon after formation. A corporation formed in an odd-numbered year files between January 1 and April 1 of the next year because that is the first even-numbered year after incorporation.
Common questions
Must Iowa articles state a purpose?
No. Any lawful business is the default unless the articles state a narrower purpose.
Must the articles state par value?
No. Par value is an optional provision, although the required class, series, count, voting, and net-asset terms still apply.
Are initial directors required in the articles?
No. They are optional there, but Fast Track requires one officer-or-director entry and the incorporators must complete organization if no directors are named.
