2. PURPOSE OF THIS DEMAND LETTER

This letter constitutes a formal written demand for the immediate payment of all wages earned but not paid to the undersigned Claimant/Employee by the above-identified Employer, as required under the Vermont wage payment statutes, 21 V.S.A. §§ 342–345, the Vermont minimum wage law, 21 V.S.A. § 384, and all other applicable state and federal wage-and-hour statutes.

NOTICE TO EMPLOYER: Vermont law imposes significant penalties for the failure to pay wages. Under 21 V.S.A. § 345, an employer who violates the wage payment provisions shall forfeit to the injured employee twice the value of the unpaid wages, plus all costs and reasonable attorney's fees. Employers may also face criminal fines of up to $5,000 per violation under 21 V.S.A. § 345(a). This demand letter affords the Employer an opportunity to resolve this matter before administrative and/or judicial proceedings are commenced.

5. LEGAL BASIS FOR DEMAND

5.1 Vermont Wage Payment Requirements — 21 V.S.A. § 342

Vermont's wage payment statute, 21 V.S.A. § 342, establishes strict requirements for how and when employers must pay their employees.

21 V.S.A. § 342(a) — Weekly Payment Requirement. Each employer shall pay each week, in lawful money or checks, the wages earned by each employee to a day not more than six days prior to the date of payment. After giving written notice to employees, an employer may pay biweekly or semimonthly, provided wages are paid to a day not more than six days prior to the date of payment.

21 V.S.A. § 342(c) — Final Pay Upon Discharge or Layoff. When an employee is discharged or laid off, the employer shall pay the employee all wages due within seventy-two (72) hours of the discharge or layoff. This 72-hour requirement is one of the strictest final pay deadlines in the nation.

21 V.S.A. § 342(c) — Final Pay Upon Voluntary Resignation. When an employee voluntarily leaves employment, the employer shall pay all wages due on the last regular payday, or if there is no regular payday, on the following Friday.

21 V.S.A. § 342(d) — Vacation Pay. Upon separation from employment, accrued vacation pay (or its equivalent under an employment agreement) shall be paid in accordance with the terms of the employer's policy or agreement.

5.2 Medium of Payment and Wage Statements — 21 V.S.A. § 343

21 V.S.A. § 343 — Medium of Payment. All wages shall be paid in lawful money or checks convertible into cash on demand at full face value. No employer shall require an employee to accept wages in any form other than cash or check without the employee's written consent.

5.3 Penalties for Nonpayment — 21 V.S.A. § 345

Vermont law provides robust penalties for employers who fail to pay wages:

21 V.S.A. § 345(a) — Criminal Penalty. Each employer who violates section 342 or 343 shall be fined not more than $5,000.00 per violation. Each week of violation constitutes a separate offense.

21 V.S.A. § 345(b) — Civil Penalty / Double Damages. An employer who violates section 342 or 343 shall forfeit to the individual injured twice the value of the unpaid wages, to be recovered in a civil action, together with all costs and reasonable attorney's fees. One-half of the additional amount recovered (the penalty portion beyond the base wages) shall be remitted to the employee, and one-half shall be retained by the Commissioner to offset administrative and collection costs.

5.4 Investigation Authority — 21 V.S.A. § 342a

21 V.S.A. § 342a — Investigation of Complaints. The Commissioner of Labor may investigate complaints of unpaid wages and may attempt to resolve disputes between employers and employees. The Commissioner may hold hearings and issue orders for the payment of wages found to be due.

5.5 Vermont Minimum Wage — 21 V.S.A. § 384

Vermont has a state minimum wage that exceeds the federal floor and is indexed to inflation:

  • Effective January 1, 2025: The Vermont minimum wage is $14.01 per hour.
  • Tipped Employee Minimum Wage: $7.01 per hour (effective 1/1/2025), provided the employee receives sufficient tips to bring total compensation to at least the full minimum wage.
  • Automatic Annual Adjustment: Under 21 V.S.A. § 384(a)(3), the minimum wage is adjusted each January 1st based on the percentage increase in the Consumer Price Index (CPI-U) for the preceding 12 months, with the increase capped at 5% per year.
  • Vermont employers must post the current minimum wage in a conspicuous place at the worksite.

5.6 Overtime Provisions — 21 V.S.A. § 385

21 V.S.A. § 385 — Overtime Compensation. An employer shall pay each employee who works in excess of forty (40) hours in any one workweek at a rate of not less than one and one-half (1.5) times the employee's regular rate of pay for all hours worked in excess of 40.

Exemptions apply to certain categories of employees, including executive, administrative, and professional employees as defined by 21 V.S.A. § 384(b).

5.7 Civil Action for Wage Recovery — 21 V.S.A. § 397

21 V.S.A. § 397 — Civil Actions. Any employer who violates the minimum wage or overtime provisions may be liable in a civil action for the full amount of unpaid wages or overtime compensation, plus an additional equal amount as liquidated damages, together with reasonable attorney's fees and costs of the action. The action may be maintained by one or more employees on behalf of themselves and other employees similarly situated.

7. CONSEQUENCES OF NON-PAYMENT

If full payment is not received by the deadline specified above, the Claimant intends to pursue one or more of the following remedies:

7.1 Administrative Complaint with Vermont Department of Labor

The Claimant will file a formal Wage Complaint with the Vermont Department of Labor, Wage and Hour Program. Upon investigation, the Department may:

  • Investigate the claim and attempt to facilitate resolution;
  • Issue an order for the payment of wages found to be due;
  • Refer the matter for further enforcement action.

7.2 Civil Lawsuit — Double Damages

The Claimant may file a civil action in a Vermont court of competent jurisdiction (Superior Court, Civil Division) to recover:

  • All unpaid wages;
  • Double damages — twice the value of the unpaid wages under 21 V.S.A. § 345(b);
  • Reasonable attorney's fees;
  • All costs of the action;
  • Liquidated damages equal to unpaid wages for minimum wage/overtime violations under 21 V.S.A. § 397.

7.3 Criminal Prosecution

The Claimant may report the violation to the Vermont Attorney General's Office or the State's Attorney in the relevant county for potential criminal prosecution. Under 21 V.S.A. § 345(a), an employer who violates the wage payment provisions may be fined up to $5,000 per violation, with each week of continuing violation constituting a separate offense.

7.4 Collective Action
