X. ARGUMENT
10.1 Standard of Review
On a Ky. R. Civ. P. 12.02 motion, the Court must accept as true all well-pleaded factual allegations and draw all reasonable inferences in the non-moving party’s favor. Dismissal is proper where “it appears the pleading party would not be entitled to relief under any set of facts which could be proved.”

10.2 Grounds for Dismissal
A. Lack of Personal Jurisdiction (Ky. R. Civ. P. 12.02(b))
