SOFTWARE SALES AGREEMENT
This Agreement is entered into as of [Effective Date] by and between:

I. DEFINITIONS
"Software" - object-code version per Order Form.
"Specifications" - functional specifications in Documentation.
"Fees" - amounts payable per Order Form.
II. LICENSE GRANT
2.1 Grant
Vendor grants Customer a [perpetual/term-limited], non-exclusive, non-transferable license for internal business purposes.
2.2 Restrictions
No reverse engineering except as permitted by applicable law; no sublicensing.
III. FEES AND PAYMENT
3.1 Payment
Due [Net 30] from invoice. Late payments accrue interest at [RATE]% or maximum under Arkansas law (17% per Ark. Code Ann. Section 4-57-104), whichever is less.
IV. WARRANTIES
4.1 Vendor Warranties

4.2 Disclaimer
EXCEPT AS EXPRESSLY PROVIDED, SOFTWARE IS "AS IS." VENDOR DISCLAIMS ALL IMPLIED WARRANTIES PER ARK. CODE ANN. SECTIONS 4-2-316 AND 4-2-719.
V. CONFIDENTIALITY AND DATA SECURITY
5.1 Trade Secrets
Protected under Arkansas Trade Secrets Act (Ark. Code Ann. Section 4-75-601 et seq.).
5.2 Data Breach
Vendor shall comply with Arkansas Personal Information Protection Act (Ark. Code Ann. Section 4-110-101 et seq.), providing notification without unreasonable delay.
VI. INDEMNIFICATION
6.1 Vendor IP Indemnity
Vendor defends against claims that Software infringes U.S. patents, copyrights, or trade secrets.
VII. LIMITATION OF LIABILITY
AGGREGATE LIABILITY NOT TO EXCEED FEES PAID IN PRIOR 12 MONTHS. NO LIABILITY FOR INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
VIII. DISPUTE RESOLUTION
8.1 Governing Law
Arkansas law without conflict-of-laws principles.
8.2 Forum
State and federal courts in Pulaski County, Arkansas (exclusive).
8.3 Jury Waiver
PARTIES WAIVE JURY TRIAL TO FULLEST EXTENT PERMITTED.
IX. GENERAL PROVISIONS
9.1 Electronic Signatures
Valid under Arkansas UETA (Ark. Code Ann. Section 25-32-101 et seq.).
