Seller and Buyer are each referred to as a "Party" and collectively as the "Parties."
RECITALS
WHEREAS, Seller is the owner of certain equipment more particularly described in Exhibit A attached hereto (the "Equipment");
WHEREAS, Buyer desires to purchase, and Seller desires to sell, the Equipment on the terms and conditions set forth herein;
WHEREAS, the Parties intend this Agreement to constitute a contract for the sale of goods governed by Article 2 of the New Jersey Uniform Commercial Code, N.J.S.A. 12A:2-101 to 12A:2-725;
WHEREAS, the Equipment has a total purchase price equal to or exceeding Five Hundred Dollars ($500.00), and this Agreement satisfies the Statute of Frauds, N.J.S.A. 12A:2-201;
NOW, THEREFORE, in consideration of the mutual covenants herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
2. DEFINITIONS
"Acceptance" means Buyer's acceptance per Section 7 and N.J.S.A. 12A:2-606.
"Affiliate" means any Person controlling, controlled by, or under common control with a Party.
"Applicable Law" means all federal, state, and local laws, including the New Jersey UCC (N.J.S.A. 12A) and the New Jersey Consumer Fraud Act (N.J.S.A. 56:8-1 et seq.) where applicable.
"Business Day" means any day other than a Saturday, Sunday, or day on which banks in New Jersey are authorized or required to close.
"Closing" means completion of the sale, including payment and title delivery.
"Commissioning" means verification that Equipment operates per Specifications after Installation.
"Confidential Information" has the meaning in Section 15.
"Conforming Goods" means Equipment conforming to Specifications and this Agreement under N.J.S.A. 12A:2-601.
"Delivery Point" means [________________________________] or as specified in Exhibit C.
"Equipment" means the goods, machinery, and related items in Exhibit A.
"Force Majeure Event" has the meaning in Section 20.5.
"Installation" means setup, assembly, and connection at Buyer's location.

"Person" means any individual, corporation, partnership, LLC, trust, or other entity.
"PMSI" means a purchase money security interest under N.J.S.A. 12A:9-103(b)(1).
"Purchase Price" has the meaning in Section 5.1.
"Specifications" means the technical specifications in Exhibit A.
"UCC" means the Uniform Commercial Code as adopted in New Jersey, N.J.S.A. 12A.
"Warranty Period" means the period from Acceptance through [____] months thereafter.
3. SALE AND PURCHASE OF EQUIPMENT
3.1 Agreement to Sell and Purchase
Seller agrees to sell, transfer, and deliver, and Buyer agrees to purchase, the Equipment in Exhibit A, free and clear of all Liens other than Permitted Liens in Exhibit B.
3.2 Bill of Sale
Seller delivers an executed bill of sale at Closing.
3.3 Quantity
Per Exhibit A. Not enforceable beyond the quantity shown under N.J.S.A. 12A:2-201.
4. EQUIPMENT SPECIFICATIONS AND SERIAL NUMBERS
4.1 Equipment Description
Exhibit A includes: description, model, manufacturer, serial number, year, condition, performance specifications, and accessories.
4.2 Modifications
Written agreement of both Parties required.
4.3 Substitution
No material substitution without written consent. Unauthorized substitution constitutes nonconformity under N.J.S.A. 12A:2-601.

5.4 Late Payment Interest
Any amount not paid when due shall bear interest at [____]% per annum, or if no rate is specified, at the post-judgment interest rate established under N.J. Court Rule 4:42-11(a), from the due date until paid in full.
New Jersey Interest Rate Note: New Jersey's post-judgment interest rate is set annually by the court system under Rule 4:42-11. For 2026: judgments not exceeding the Special Civil Part limit carry a 4.5% rate; judgments exceeding that limit carry a 6.5% rate. Prejudgment interest is generally computed at the same rate. Unlike many states with a fixed statutory rate, New Jersey adjusts its rate annually based on the cash management fund rate. Contractual interest rates are generally enforceable in commercial transactions, though New Jersey's criminal usury statute (N.J.S.A. 2C:21-19) prohibits rates exceeding 30% for non-exempt transactions.
5.5 Taxes
(a) The Purchase Price does not include applicable taxes.
(b) New Jersey Sales and Use Tax. New Jersey imposes a 6.625% sales and use tax on tangible personal property (N.J.S.A. 54:32B-3). Designated Urban Enterprise Zones may have a reduced rate of 3.3125% (half the standard rate) for in-person purchases.
(c) Manufacturing Equipment Exemption. Machinery, apparatus, or equipment used directly and primarily in the production of tangible personal property by manufacturers, processors, assemblers, or refiners is exempt from sales and use tax under N.J.S.A. 54:32B-8.13(a). This exemption applies whether the equipment is purchased, rented, or leased. Repair parts, tools, and supplies used directly in production are also exempt. Buyer must provide Form ST-4 (Exempt Use Certificate) to claim this exemption.
(d) Research and Development Equipment. Equipment used directly and exclusively in research and development in the experimental or laboratory sense may also qualify for exemption.
(e) Buyer indemnifies Seller for tax assessed due to invalid exemption claims.

8.2 Implied Warranty of Merchantability
Unless disclaimed, Equipment shall be merchantable under N.J.S.A. 12A:2-314.
8.3 Implied Warranty of Fitness for Particular Purpose
If Seller knows Buyer's particular purpose and reliance, Equipment shall be fit under N.J.S.A. 12A:2-315.
8.4 Warranty Claims

8.5 Warranty Disclaimer (Optional)

New Jersey Practice Note: Under N.J.S.A. 12A:2-316(2), exclusion of merchantability must mention "merchantability" and be conspicuous. Exclusion of fitness must be written and conspicuous. IMPORTANT: New Jersey's Consumer Fraud Act (N.J.S.A. 56:8-1 et seq.) provides substantial protections that may override UCC warranty disclaimers in consumer transactions. The CFA prohibits unconscionable commercial practices, and a successful plaintiff may recover treble damages and attorneys' fees. Verify whether the transaction qualifies as a consumer sale, as the CFA has been broadly construed by New Jersey courts to cover business-to-consumer equipment sales.
9. REPRESENTATIONS
9.1 Mutual Representations
Each Party: (a) duly organized and in good standing; (b) full authority; (c) valid and binding obligation; (d) no violation of law or agreements.
9.2 Seller's Representations
(a) Good title free of undisclosed Liens; (b) compliance with Applicable Laws and OSHA; (c) no pending litigation; (d) all defects disclosed; (e) no recalls; (f) Seller has not engaged in any unconscionable commercial practice or made any affirmative misrepresentation regarding the Equipment within the meaning of N.J.S.A. 56:8-2.
9.3 Buyer's Representations

Prompt notice; indemnifying Party controls; cooperation; no settlement without consent if obligations imposed.
13. LIMITATION OF LIABILITY
13.1 Liability Cap
EXCEPT FOR (A) INDEMNIFICATION, (B) GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, (C) TITLE WARRANTY BREACH, (D) PERSONAL INJURY OR DEATH, OR (E) CLAIMS UNDER THE NEW JERSEY CONSUMER FRAUD ACT, AGGREGATE LIABILITY SHALL NOT EXCEED THE PURCHASE PRICE OR $[________________________________].
New Jersey Practice Note: Contractual limitations of liability may not effectively limit claims under the New Jersey Consumer Fraud Act (N.J.S.A. 56:8-1 et seq.), which provides for mandatory treble damages and attorneys' fees. CFA claims cannot be contractually waived.
13.2 Consequential Damages Waiver

14. INTELLECTUAL PROPERTY
14.1 Ownership
Seller retains all IP rights except as expressly transferred.
14.2 License Grant
Non-exclusive, non-transferable, royalty-free license for embedded software/firmware for operation, maintenance, and repair.
14.3 Infringement Defense
(a) Procure continued use; (b) modify to non-infringing; or (c) replace with equivalent.
15. CONFIDENTIALITY
15.1 Definition
Non-public information disclosed in connection with this Agreement.
15.2 Obligations
Reasonable care; no unauthorized disclosure; use solely for Agreement purposes.
15.3 Exclusions
Publicly available; already known; independently developed; legally compelled (with notice).
15.4 Trade Secrets
Information qualifying under the New Jersey Trade Secrets Act (N.J.S.A. 56:15-1 et seq.) is protected for as long as it retains trade secret status. A "trade secret" means information that derives independent economic value from not being generally known and is the subject of reasonable efforts to maintain secrecy (N.J.S.A. 56:15-2). Remedies include injunctive relief (§ 56:15-3), damages including unjust enrichment (§ 56:15-4), and attorneys' fees for willful misappropriation (§ 56:15-5). The statute of limitations is three (3) years (§ 56:15-6). Protections under the federal Defend Trade Secrets Act (18 U.S.C. § 1836) also apply.
15.5 Duration

16. TITLE RETENTION AND SECURITY INTERESTS

17.4 Seller's Remedies
(a) Action for the price (§ 12A:2-709); (b) resale and recovery (§ 12A:2-706); (c) damages for non-acceptance (§ 12A:2-708); (d) stoppage in transit (§ 12A:2-705); (e) enforcement of PMSI under Article 9, Part 6.
17.5 Cumulative Remedies

17.6 Statute of Limitations
UCC sales claims: four (4) years under N.J.S.A. 12A:2-725. Parties may reduce to not less than one year. General contract claims: six (6) years under N.J.S.A. 2A:14-1. Consumer Fraud Act claims: six (6) years from the date the cause of action accrued.
18. TERM AND TERMINATION
18.1 Term

Immediate upon insolvency, bankruptcy, assignment for creditors, or receivership.
18.4 Effect of Termination

19. DISPUTE RESOLUTION
19.1 Governing Law
New Jersey law, including the UCC (N.J.S.A. 12A), without conflict-of-laws principles. CISG excluded.
19.2 Forum Selection
Exclusive jurisdiction in the Superior Court of New Jersey, [________________________________] County, or the United States District Court for the District of New Jersey. Each Party submits to exclusive jurisdiction.
19.3 Jury Waiver
EACH PARTY HEREBY KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVES, TO THE FULLEST EXTENT PERMITTED BY NEW JERSEY LAW, ANY RIGHT TO TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THIS AGREEMENT.
New Jersey Practice Note: The New Jersey Constitution, Art. I, Par. 9, guarantees the right to jury trial. Contractual jury waivers are enforceable in New Jersey commercial contracts when knowing, voluntary, and conspicuous, provided the waiver is mutual and clearly stated. New Jersey courts have upheld waivers that are prominently displayed in the contract. Both Parties should initial.

20. GENERAL PROVISIONS

This Agreement and Exhibits constitute the entire agreement. Parol evidence per N.J.S.A. 12A:2-202.
20.2 Amendments
Written and signed by both Parties.
20.3 Assignment
No assignment without consent, except to successor by merger or sale of substantially all assets.
20.4 Notices
Written; delivered personally, by overnight courier, or certified mail to Section 1 addresses.
20.5 Force Majeure
No liability for non-payment delays beyond reasonable control. Prompt notice and mitigation. Termination right after [____] days.
20.6 Severability
Invalid provisions severed; remainder in full force.
20.7 Waiver
Written only. No waiver of one breach waives others. Reservation of rights under N.J.S.A. 12A:1-308.
20.8 Counterparts; Electronic Signatures
Counterparts permitted. Electronic signatures valid under the New Jersey Uniform Electronic Transactions Act (N.J.S.A. 12A:12-1 et seq.). Electronically delivered copies have original effect.
20.9 Relationship of Parties
Independent contractors.
20.10 No Third-Party Beneficiaries
Benefits the Parties and permitted successors only.
20.11 New Jersey Consumer Fraud Act Compliance
IMPORTANT: The New Jersey Consumer Fraud Act (N.J.S.A. 56:8-1 et seq.) is one of the strongest consumer protection statutes in the United States. It prohibits unconscionable commercial practices, deception, fraud, and misrepresentation in connection with the sale of merchandise. The CFA provides for treble damages and mandatory attorneys' fees for successful plaintiffs. Importantly, New Jersey courts have broadly construed "merchandise" to include equipment and machinery. The CFA protections cannot be waived by contract.
The Parties acknowledge and agree that nothing in this Agreement is intended to violate, waive, or limit any rights or protections under N.J.S.A. 56:8-1 et seq.
20.12 Urban Enterprise Zone
If the Equipment is purchased within a designated New Jersey Urban Enterprise Zone (UEZ), the applicable sales tax rate may be reduced to 3.3125% (half the standard rate) for qualifying in-person transactions. Buyer shall confirm UEZ eligibility independently.
