Professional Corporation / PA / PLLC Formation Packet — Texas

FLAG — TEXAS OFFERS PC, PA, AND PLLC

Unlike most states, Texas authorizes three distinct professional-entity forms under BOC Title 7:

Form Governing Chapter Form # Who may use it
Professional Corporation (P.C.) Ch. 301 + Ch. 303 Form 203 Most licensed professions, except the practice of medicine by physicians/surgeons/doctors of medicine (BOC § 301.003(3)). Engineers and architects generally use a business corporation, not a PC.
Professional Association (P.A.) Ch. 301 + Ch. 302 Form 204 Only the limited list of healing-arts/medical professions in BOC § 301.003(2): doctor of medicine, doctor of osteopathy, doctor of podiatry, dentist, chiropractor, optometrist, therapeutic optometrist, veterinarian, or licensed mental health professional.
Professional Limited Liability Company (PLLC) Ch. 301 + Ch. 304 Form 206 The broadest list of licensed professions (including those barred from a PC, such as physicians).

Quick-Reference Summary

Topic Texas Rule
Professional-entity statute Tex. Bus. Orgs. Code Title 7 (Ch. 301–304)
PLLC permitted? Yes — Tex. Bus. Orgs. Code Ch. 304 (formed under Title 1, 3, and Chs. 301, 304)
Filing agency Texas Secretary of State, Corporations Section
PC formation document + form/fee Certificate of Formation — Professional Corporation, Form 203; $300
PA formation document + form/fee Certificate of Formation — Professional Association, Form 204; $300
PLLC formation document + form/fee Certificate of Formation — Professional Limited Liability Company, Form 206; $300
Required name designation — PC "Professional Corporation," "P.C.," or other corporate designator; must comply with BOC Ch. 5 and § 5.060 (not contrary to a profession's statute/rules)
Required name designation — PA "Professional Association," "P.A.," or "Associated"; per BOC Ch. 5 / § 5.060
Required name designation — PLLC "Professional Limited Liability Company," "PLLC," or "P.L.L.C."; per BOC Ch. 5 / § 5.060
Licensing-board pre-approval before filing? The SOS does not require a board certificate to file. But the name may not violate a profession's rules (§ 5.060), and ownership/management must satisfy the profession's licensing rules; the Secretary of State recommends contacting the examining board. Some boards require separate registration to practice through the entity.
Who may own / manage Only a professional individual (licensed to provide the same service) or a professional organization may own or manage (BOC § 301.004, Ch. 301). Only a professional individual may serve as an officer of a PLLC.
Registered agent Required — a Texas registered agent who has consented; the entity cannot serve as its own agent (BOC §§ 5.201, 5.207)
Tax Texas franchise tax applies (Texas Comptroller); no Texas personal income tax

Choosing Among PC, PA, and PLLC in Texas

  • PC (Ch. 303). Corporate form; shareholders, directors, officers. Cannot be used for the practice of medicine by doctors of medicine. Often chosen by accountants, attorneys, and similar professions that prefer a corporate structure.
  • PA (Ch. 302). A Texas-specific association form available only to the § 301.003(2) healing-arts professions. Historically used by physician and dental groups; governed as a professional entity.
  • PLLC (Ch. 304). LLC form with member/manager flexibility and pass-through taxation by default. Available to the widest set of professions, including physicians. Frequently the default modern choice.
  • Liability (all three). The entity limits liability for general business debts and for other owners' conduct, but a professional remains personally liable for the professional's own negligence/malpractice.
  • Ownership rule (all three). Only professional individuals (or professional organizations) licensed in the same service may own/manage (BOC Ch. 301). This is the core professional-entity restriction.

Starting a business means choosing a legal structure and filing the right paperwork to make it official. LLCs, corporations, and partnerships each have different tax, liability, and governance rules, and each state has its own filing forms and fees. Getting these documents right at the start protects your personal assets, sets up clean ownership terms between founders, and avoids expensive fixes later.
