Quick-Reference Summary
| Topic | Oregon Rule |
|---|---|
| Professional-corporation act | ORS ch. 58 (Professional Corporations) |
| PC governed by | ORS ch. 58 + Oregon Business Corporation Act (ORS ch. 60) where ch. 58 is silent (ORS 58.045) |
| PLLC permitted? | Yes, via the general LLC act — Oregon has no separate professional-LLC chapter; an LLC or its members may render professional service under ORS 63.074 (ORS ch. 63), subject to the profession's licensing law and board rules |
| Filing agency | Oregon Secretary of State, Corporation Division |
| PC formation document | Articles of Incorporation (professional corporation); filing fee $100 |
| PLLC formation document | Articles of Organization (ORS ch. 63 LLC); filing fee $100 |
| Required name designation — PC | Name must contain "professional corporation" or the abbreviations "P.C." or "Prof. Corp." (ORS 58.115); need not contain "Inc." or "Corp." |
| Required name designation — PLLC | Name must comply with ORS 63.094 — must contain "limited liability company," "L.L.C.," or "LLC" |
| Licensing-agency registration | Yes — register and renew with the professional licensing agency (ORS 58.345); attorneys: the Oregon State Bar is the regulating board (ORS 58.365) |
| Who may own shares / interests | Persons licensed to render the specified professional service (ORS 58.085, 58.383 for PC; the profession's licensing law for an LLC under ORS 63.074) |
| Single-profession limit | A PC may be organized for one or more professional services that may lawfully be practiced in combination (ORS 58.076); confirm permitted combinations with the boards |
| Registered agent | Required (ORS ch. 60 for PC; ORS ch. 63 for LLC) |
| Annual report | Required annually on the formation anniversary; $100 domestic fee (Oregon Secretary of State) |
| Shareholder liability shield | PC shareholders are not personally liable for entity debts except as in ORS 58.185 / 60.151(1); professional negligence liability is preserved (ORS 58.185) |
| Death of shareholder (medical PCs) | Special disposition rules for shares of a deceased shareholder (ORS 58.387, 58.389) |
Part 1 — Choosing the PC (ch. 58) vs. the LLC (ch. 63)
| Factor | Professional Corporation (ORS ch. 58) | LLC rendering professional services (ORS ch. 63 / § 63.074) |
|---|---|---|
| Governing law | ORS ch. 58 + Business Corporation Act (ch. 60) | ORS ch. 63 (general LLC act) + profession's licensing law |
| Owners called | Shareholders | Members |
| Formation document | Articles of Incorporation (professional corporation) | Articles of Organization |
| Filing fee | $100 | $100 |
| Annual report fee | $100 (anniversary) | $100 (anniversary) |
| Default federal tax | C corporation (S election available) | Partnership / disregarded; may elect S or C |
| Name designation | "Professional Corporation," "P.C.," or "Prof. Corp." (ORS 58.115) | "Limited Liability Company," "L.L.C.," or "LLC" (ORS 63.094) |
| Professional liability | Shareholder personally liable for own negligence; capped joint-and-several rules (ORS 58.185) | Members who are professionals personally liable to the same extent as PC shareholders under ORS 58.185/58.187 (ORS 63.074(2)) |
| Licensing-agency registration | ORS 58.345 (register/renew) | Per profession's licensing law and board rules |
Because ORS 63.074(2) imports the ORS 58.185 professional-liability framework into professional LLCs, the professional-liability exposure of an LLC member and a PC shareholder is intended to be the same. The choice generally turns on tax planning, management structure, and your board's rules. Confirm your profession may use the LLC form under its licensing law before choosing ch. 63.

About This Template
Starting a business means choosing a legal structure and filing the right paperwork to make it official. LLCs, corporations, and partnerships each have different tax, liability, and governance rules, and each state has its own filing forms and fees. Getting these documents right at the start protects your personal assets, sets up clean ownership terms between founders, and avoids expensive fixes later.
