Quick-Reference Summary
| Topic | Oklahoma Rule |
|---|---|
| Professional-entity act | 18 O.S. § 801 et seq. (Professional Entity Act, §§ 803–815) — unified act covering professional corporations, professional LLCs, and professional associations |
| PC governed by | Professional Entity Act + Oklahoma General Corporation Act (certificate of incorporation, 18 O.S. § 1006) |
| PLLC permitted? | Yes — Professional Entity Act + Oklahoma Limited Liability Company Act (articles of organization, 18 O.S. § 2000 et seq.) |
| Filing agency | Oklahoma Secretary of State |
| PC formation document | Certificate of Incorporation (SOS form FM0003); filing fee $50 minimum (based on authorized capital, $1.00 per $1,000) |
| PLLC formation document | Articles of Organization (SOS form FM0010); filing fee $100 |
| Required name designation | Professional Entity Act + the associated act govern the name (18 O.S. § 807). PC: a general-corporation designation such as "Corporation," "Company," "Incorporated," "Limited," "Corp.," "Inc.," or "Ltd." PLLC: "Limited Liability Company," "Limited Company," "L.L.C.," "LLC," or "Ltd. Co." |
| Licensing-board pre-approval / certificate | Yes — required at filing. The formation instrument must include a certificate by the regulating board that each person to become an owner or manager who will practice is duly licensed (18 O.S. § 804(2)) |
| Who may own ownership interests | Only persons licensed to render the same professional services may be owners (18 O.S. § 809); managers who practice must be licensed (18 O.S. § 810) |

| Corporate practice of medicine | Oklahoma does not enforce the corporate-practice-of-medicine doctrine (59 O.S. § 492); confirm health-care specifics with counsel |
Part 1 — Choosing PC vs. PLLC in Oklahoma
| Factor | Professional Corporation (PC) | Professional LLC (PLLC) |
|---|---|---|
| Associated act | Oklahoma General Corporation Act (18 O.S. § 1001 et seq.) | Oklahoma Limited Liability Company Act (18 O.S. § 2000 et seq.) |
| Owners called | Shareholders | Members |
| Managers called | Directors / officers | Members or managers |
| Formation instrument | Certificate of Incorporation (FM0003) | Articles of Organization (FM0010) |
| Filing fee | $50 minimum ($1.00 per $1,000 authorized capital) | $100 |
| Default federal tax | C corporation (S election available) | Partnership / disregarded; may elect S or C |
| Periodic state filing | None to the Secretary of State (franchise tax repealed) | Annual certificate, $25, on formation anniversary |
| Ownership restriction | Licensed persons only (18 O.S. § 809) | Licensed persons only (18 O.S. § 809) |
| Manager restriction | Practicing directors/officers licensed (18 O.S. § 810) | Practicing managers licensed (18 O.S. § 810) |
Both forms share the same Professional Entity Act overlay — board certificate at filing, licensed-owner and licensed-manager rules, and the § 815 death/disqualification framework. The choice usually turns on tax planning, periodic-filing burden (none for the PC vs. a $25 annual certificate for the PLLC), and management flexibility.
