SOUTH DAKOTA FICTITIOUS BUSINESS NAME WORKSHEET
1. FILING OBLIGATION
A person regularly conducting business in South Dakota must file a fictitious-name statement unless:
- the business name plainly shows the true surname of every person interested in the business; or
- the business name is already on file with the Secretary of State in a required business filing.

3. FILING AND RENEWAL
3.1 File electronically with the South Dakota Secretary of State or file a paper statement with any South Dakota register of deeds.
3.2 The filing fee is $10.
3.3 Renew every fifth year. The renewal fee is $10.
3.4 Chapter 37-11 does not require newspaper publication of the statement.
4. OWNERSHIP CHANGES
File a verified statement when 25 percent or more of the ownership interest in the business changes. The filing fee is $10.
5. NONCOMPLIANCE
A person or firm may not maintain an action in the business name, recover, or enforce a right arising from operation of the business until the required statement under SDCL 37-11-1 or 37-11-2 is filed.
