2. RECITALS
WHEREAS, Creator is a content creator, influencer, and/or online personality with an established presence on social media and digital platforms;
WHEREAS, Manager is in the business of managing and advising content creators and influencers;
WHEREAS, Creator desires to engage Manager to provide management, advisory, and business development services; and
WHEREAS, Manager desires to represent Creator on the terms set forth herein;
NOW, THEREFORE, in consideration of the mutual promises contained herein, the Parties agree as follows:
3. DEFINITIONS
"Brand Deal" means any agreement for Creator to create sponsored content, serve as brand ambassador, or otherwise promote products or services.
"Commissionable Income" means all gross compensation received by Creator from activities within the Scope of Services, as defined in Section 7.
"Content" means videos, photos, podcasts, written content, livestreams, and any other creative works produced by Creator.
"FTC Guidelines" means the Federal Trade Commission's Endorsement Guides (16 CFR Part 255).
"Gross Compensation" means all compensation before taxes and expenses, including cash, equity, products/services (at fair market value), royalties, and any other consideration.
"Net Compensation" means Gross Compensation minus pre-approved, documented production costs directly attributable to the specific engagement.
"Platform" means any social media platform, website, streaming service, or digital distribution channel.
"Scope of Services" means the areas of Creator's business that Manager will manage, as defined in Section 5.
"Territory" means the geographic scope of Manager's representation.
4. APPOINTMENT & AUTHORITY
4.1 Appointment
Creator hereby appoints Manager as Creator's [exclusive / non-exclusive] personal manager within the Scope of Services for the Territory.
4.2 Territory

4.4 Limitations on Authority
Manager shall NOT, without Creator's express written consent:

4.5 Final Approval
All final decisions regarding Creator's career, including acceptance of any opportunity, remain with Creator.
5. MANAGER'S SERVICES
5.1 Scope of Services
Manager shall provide management services in the following areas:
Brand Partnerships & Sponsorships:

☐ Negotiate Brand Deal terms and compensation
☐ Review and advise on brand contracts
☐ Manage brand relationships and communications
☐ Ensure FTC compliance in brand agreements
Business Development:
☐ Develop and execute Creator's business strategy
☐ Identify new revenue opportunities
☐ Advise on content monetization strategies
☐ Explore licensing and merchandise opportunities
☐ Identify speaking and appearance opportunities
Career Guidance & Advisory:
☐ Provide strategic career advice
☐ Advise on content strategy and platform growth
☐ Guide public image and reputation management
☐ Assist with crisis management if needed
☐ Connect Creator with industry professionals
Platform & Monetization:
☐ Advise on platform-specific monetization (YouTube AdSense, TikTok Creator Fund, etc.)
☐ Negotiate platform partnerships and features
☐ Explore multi-platform strategy
Administrative Support:
☐ Calendar and scheduling coordination
☐ Contract administration and tracking
☐ Invoice tracking and follow-up
☐ General business administration
Team Building:
☐ Recommend and vet other team members (agents, attorneys, accountants, editors)
☐ Coordinate with Creator's broader team
5.2 Excluded Services
The following are NOT within Manager's Scope of Services:
☐ Talent Agency Services: Procuring employment in fields requiring licensed talent agencies (e.g., acting, modeling in regulated jurisdictions)
☐ Legal Services: Providing legal advice or drafting contracts (Creator should retain independent legal counsel)
☐ Financial Services: Tax preparation, investment advice, financial planning
☐ Content Production: Editing, production, or creative services
☐ PR/Publicity: Traditional public relations and media outreach (unless separately agreed)

5.3 Standard of Care
Manager shall perform services in a professional manner consistent with industry standards for content creator management.
5.4 Availability
Manager shall be reasonably available to Creator during normal business hours and for urgent matters as they arise.
6. CREATOR'S OBLIGATIONS
6.1 Cooperation
Creator shall:

☐ Respond to Manager's communications in a timely manner
☐ Provide Manager with materials needed to perform services
☐ Keep Manager informed of relevant opportunities and developments
☐ Honor commitments made to brands and partners
☐ Attend scheduled meetings and calls
☐ Maintain and grow Creator's social media presence
6.2 Materials
Creator shall provide Manager with:

☐ Professional media kit and portfolio

☐ Bio, headshots, and promotional materials

6.3 Professional Standards
Creator shall:
☐ Maintain professional standards in dealings with brands and partners
☐ Deliver content on time and as agreed
☐ Comply with FTC Guidelines for all sponsored content
☐ Not engage in conduct that damages Creator's or Manager's reputation
☐ Inform Manager of any issues affecting partnerships
6.4 Transparency
Creator shall:

☐ Not negotiate deals within Scope of Services without Manager's involvement
☐ Provide accurate information about audience metrics
7. COMPENSATION & COMMISSION
7.1 Commission Rate
Manager shall receive a commission of [X]% of Commissionable Income.

7.2 Commissionable Income
Manager's commission applies to the following income sources:

☐ Book/Product Deals: Advances and royalties from publishing or product lines

7.3 Non-Commissionable Income
Manager shall NOT receive commission on:
☐ Platform Ad Revenue: AdSense, YouTube Partner Program, TikTok Pulse (unless negotiated by Manager)
☐ Direct Fan Payments: Tips, subscriptions (Patreon, OnlyFans), Super Chats (unless negotiated by Manager)
☐ Pre-Existing Deals: Contracts signed before this Agreement (see Section 7.4)
☐ Personal Investments: Income from Creator's personal investments
☐ Non-Entertainment Income: Income unrelated to Creator's content career

7.4 Pre-Existing Deals

7.7 Commission on Non-Cash Compensation

8. EXPENSES
8.1 Manager's Operating Expenses
Manager is responsible for own operating expenses including:

8.2 Reimbursable Expenses
Creator shall reimburse Manager for pre-approved expenses including:
☐ Travel required for Creator's bookings (if not covered by brand)
☐ Materials specifically requested by Creator
☐ Third-party services engaged with Creator's approval
☐ Expenses exceeding $[AMOUNT] require prior written approval
8.3 Documentation
Manager shall provide receipts and documentation for all reimbursable expenses.
9. EXCLUSIVITY
9.1 Manager Exclusivity
☐ Exclusive Management: Creator shall not engage other managers for services within the Scope of Services during the Term.
☐ Non-Exclusive: Creator may engage other managers; Manager's commission applies only to deals Manager negotiates.
9.2 Talent Agency Carve-Out
If Creator engages a licensed talent agent for services requiring agency licensure, such engagement is not a violation of exclusivity. Agent and Manager commissions may both apply to relevant deals (subject to any commission caps).
9.3 Key Person
If [NAME] is the key person at Manager responsible for Creator's account:

10. TERM & TERMINATION
10.1 Initial Term
This Agreement shall commence on the Effective Date and continue for an initial term of [DURATION] (the "Initial Term").
10.2 Renewal
☐ Automatic Renewal: This Agreement automatically renews for successive [DURATION] periods unless either Party provides written notice of non-renewal at least [NUMBER] days before the end of the then-current term.

10.3 Termination for Cause
Either Party may terminate immediately upon written notice if the other Party:

(b) Becomes insolvent or files for bankruptcy;
(c) Engages in fraud, gross negligence, or willful misconduct;
(d) Commits acts causing material damage to the other's reputation.
10.4 Creator's Additional Termination Rights

☐ Creator's key person at Manager leaves and acceptable replacement is not provided
☐ Manager is acquired by or merges with another entity

10.5 Manager's Additional Termination Rights
Manager may terminate upon [NUMBER] days' notice if:

10.6 Termination for Convenience

11. POST-TERMINATION MATTERS
11.1 Sunset Commission
Following termination, Manager shall continue to receive commission on:
Deals Secured During Term:
☐ Full commission on all payments received for deals signed during the Term, regardless of when paid

Renewals/Extensions:

Creator retains all rights in Creator's name, image, likeness, content, social media accounts, and all intellectual property.
12.2 Manager's Materials
Manager retains rights in Manager's proprietary tools, processes, templates, and materials.
12.3 License to Manager
Creator grants Manager a limited license to use Creator's name, image, likeness, and materials solely to perform management services during the Term.
12.4 No Transfer
Nothing in this Agreement transfers any intellectual property rights from Creator to Manager.
13. FTC COMPLIANCE
13.1 Manager's Obligations
Manager shall:
☐ Ensure all Brand Deals include FTC-compliant disclosure requirements
☐ Advise Creator on FTC disclosure obligations
☐ Include FTC compliance provisions in contracts negotiated by Manager
☐ Stay informed of FTC guidance updates
13.2 Creator's Obligations
Creator shall:
☐ Comply with all FTC disclosure requirements for sponsored content
☐ Use clear and conspicuous disclosures (#Ad, #Sponsored, etc.)
☐ Make disclosures in accordance with 16 CFR Part 255
☐ Not make false or misleading claims
13.3 Joint Responsibility
Both Parties acknowledge that both the influencer and the advertiser (and by extension, the manager who negotiated the deal) may be liable for FTC violations.
14. REPRESENTATIONS & WARRANTIES
14.1 Manager Represents and Warrants:

☐ Will perform services professionally and in good faith

☐ Is not aware of any conflicts that would prevent performance
☐ Will comply with applicable laws governing talent management

15. INDEMNIFICATION
15.1 Creator Indemnification
Creator shall indemnify Manager against claims arising from:

☐ Third-party IP claims related to Creator's content
15.2 Manager Indemnification
Manager shall indemnify Creator against claims arising from:

16. CONFIDENTIALITY
16.1 Confidential Information
"Confidential Information" includes: this Agreement's terms, compensation, brand relationships, business strategies, and any non-public information.
16.2 Obligations
Each Party shall:

☐ Use Confidential Information only for purposes of this Agreement

16.3 Exceptions
Confidentiality does not apply to information that is:

16.4 Duration

17. LIMITATION OF LIABILITY
17.1 Cap
EXCEPT FOR INDEMNIFICATION OBLIGATIONS OR WILLFUL MISCONDUCT, NEITHER PARTY'S TOTAL LIABILITY SHALL EXCEED THE TOTAL COMMISSIONS PAID OR PAYABLE DURING THE [12] MONTHS PRECEDING THE CLAIM.
17.2 Consequential Damages
NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
17.3 Lost Opportunities
Manager is not liable for opportunities that do not materialize or deals that are not accepted by Creator or third parties.
18. DISPUTE RESOLUTION
18.1 Governing Law
This Agreement is governed by the laws of [STATE].
18.2 Informal Resolution
Before formal proceedings, Parties shall attempt good-faith resolution for [NUMBER] days.
18.3 Dispute Resolution

This Agreement constitutes the entire agreement and supersedes all prior agreements.
19.3 Amendments
Amendments require written agreement signed by both Parties.
19.4 Waiver
Failure to enforce is not a waiver.
19.5 Severability
Invalid provisions are severed; the remainder continues.
19.6 Assignment
Neither Party may assign without consent, except Manager may assign to a successor entity.
19.7 Notices
Written notices to addresses in Section 1.
19.8 Counterparts
May be executed electronically.
19.9 Agency Disclaimer
Manager is not a licensed talent agency and does not provide services requiring talent agency licensure. Manager does not procure employment. If such services are required, Creator should engage a licensed talent agent.
